Reporting to the Senior Assistant Company Secretary in the Legal and Professional Advisory team, the Governance Manager will help develop, implement and monitor subsidiary governance processes and procedures to support the life cycle and compliance of RWS’s global entities. The focus of the role initially will be on subsidiary governance, and over time, there is scope to get involved with wider governance deliverables. This role requires a blend of company secretariat technical experience, organisational and project management skills, and the ability to support and influence internal stakeholders. The Legal and Professional Advisory team, led by our General Counsel and Company Secretary, Jane Hyde, includes the Legal, Company Secretarial, Data Privacy and ESG functions which provide critical business partnering to our Divisional operations and help drive the Group’s risk management, regulatory, governance and sustainability agendas. You will be part of a diverse and international team working across our global operations which span a footprint of over 100 legal entities in 43 different countries worldwide. As part of the overall RWS business strategy we are making a significant investment in upgrading our systems and processes to deliver enhanced reporting and control and strengthening our risk and governance frameworks. Key Responsibilities Support in the development of RWS’s subsidiary governance framework Oversee annual compliance for global entities collaborating with internal stakeholders (finance, tax, treasury, legal, HR, entity directors) and external advisers Deliver company secretarial compliance for UK subsidiary entities, including drafting minutes Take the lead in managing statutory records for global entities, developing process for regular verification and help develop RWS’s use of Kube. Support with all aspects of corporate administration including document execution, updates to authorised signatories, notarisation/legalisation documents, KYC/information requests. Skills & Experience Educated to degree level (ideally, but not essential) and either ACG qualified or graduate. Demonstratable experience of managing entity governance and compliance in multiple jurisdictions. Good technical knowledge of UK companies law. Proficient in global entity management software tools (Kube, Diligent Entities, GEMS) and Microsoft Office for collaboration and meetings. Organised with excellent attention to detail. Ability to create written procedures, guidance and template. Ability to build effective and collaborative working relationships Resourceful, proactive and action-oriented with the ability to get things done and overcome obstacles.
