The Team: The EMEA GCSS business is based in London with additional desks in Madrid and Frankfurt. The individual in this role will join the EMEA GCSS legal team which is comprised of a London based senior team lead lawyer, a lawyer in Madrid and a lawyer in London who specialises in EM (Eastern Europe and MENA) both in secondary and in the originate to distribute space. This individual will work alongside the rest of the EMEA GCSS legal team supporting all aspects of the business and report to the New York based Global Head of GCSS Legal. Role Overview: Provide legal advice and transactional support for all aspects of the EMEA Global Credit and Special Situations (GCSS) team which focuses on trading and investing in distressed opportunities throughout EMEA, including through debt (loans or bonds and either as single name or portfolio investments), claims, receivables and equity positions. In addition to providing legal support to effect the initial position/investment, ongoing coverage of the situation is often required to take the position/investment through a restructuring, refinancing or other exit strategy. Responsibilities include: Provide legal analysis and advice on credit documentation, relevant restructuring and insolvency laws and processes and related legal, structuring and trading queries from desk analysts and traders. Negotiate, draft and review LMA, bespoke trade and asset-related documentation for distressed loans, claims, and loan portfolio transactions, in a variety of EMEA jurisdictions and across a variety of asset types (e.g., real estate and shipping). Provide ongoing legal coverage during the lifecycle of investments including restructurings, refinancings or other exit strategies. Advise on queries from and providing legal support to the EMEA Corporate Actions, Confidentiality Agreements and Loan Documentation teams. Prepare and comment on non-binding and binding bid letters as well as providing transactional support in the context of loan portfolio transactions. Coordinate with Compliance and other support partners in formulating and updating policies and procedures for the business. Coordinate with outside counsel, trade associations and support partners to advise on regulatory matters impacting the business. Required Skills: UK qualified lawyer Strong transactional legal experience with a top law firm or within the financial services industry. An understanding of insolvency, restructuring and banking/finance. Familiarity with LMA documentation. An understanding of Brexit and related regulatory issues a plus but not essential.
