In this role you will support the Head of Corporate Governance as part of a small team, charged with supporting the Companies House Main Board and Companies House�s wider boards and sub-committees.
You will be responsible for effectively supporting corporate governance arrangements across the organisation and for providing a high level of support to Executive Directors and Stakeholders.

Job description
Typical responsibilities will include:
1. Drafting high quality minutes of meetings, communicating decisions and actions of boards and committees effectively, and ensuring transparency of decision-making;
2. Maintaining internal guidance and information on corporate governance arrangements on the Companies House Intranet;
3. Working closely with the Head of Corporate Governance and Chairs of committees to ensure decisions are made in the appropriate forum, and that committees are operating in line with their Terms of Reference (ToRs);
4. Assisting in the regular review of ToRs;
5. Proofing papers and working with paper authors to ensure the drafting of good quality, impactful papers which support effective discussions and decision-making;
6. Assisting in the periodic review of the effectiveness of Boards and Committees, and supporting the implementation of improvements, as necessary;
7. Ensuring the internal Governance Guide is up to date and appropriately populated across the organisation;
8. Coordinating agendas, papers and meetings for boards and committees to a high standard;
9. Delivering excellent Secretariat support to boards and committees to ensure effective running, including carrying out key administrative duties;
10. Supporting Executive Directors by providing professional and high-quality support and service; and
11. Building relationships and communicating professionally and confidently with Executive Directors and Non-Executive Directors (NEDs), representing Companies House appropriately in all your interactions.
Person specification
As Corporate Governance Officer, you will be a key part of the Chief Executive�s team, working to support Companies House�s Main Board and its wider committees to deliver the organisation�s strategy. You will ensure the smooth running of boards and committees, ensuring decision making is fully informed and that discussions conform with Companies House�s governance arrangements, standards, codes, and frameworks.
You will be highly organised, professional, and proactive and able to take a key role within the Corporate Governance function, while managing conflicting priorities. You will have excellent communication skills, both written and verbal, and an ability to use your own initiative. You will be able to operate both independently and as part of a team, with an ability to adapt well to change and work well under pressure.
Technical Skills - to be assessed at sift and/or interview
12. An ability to plan, deliver and document meetings that support high-quality strategic discussion and effective decision making;
13. An ability to communicate using appropriate styles, to maximise understanding and impact;
14. Excellent writing skills, with a high attention to detail when drafting minutes and documentation;
15. Strong negotiating skills;
16. An ability to adapt well to change and work well under pressure; and
17. An ability to create and maintain a comprehensive forward plan for all boards and committees
Experience - to be assessed at sift and/or interview
18. A good understanding of the principles of good corporate governance, in the context of a ministerial department or a similar organisation;
19. Experience of operating flexibly and working at pace, planning, and prioritising to meet tight deadlines;
20. Experience in building consensus across different NEDs and Executive Directors, with different priorities; and
21. An exceptional level of integrity with a proven ability to deal with sensitive material.
22. Relevant experience operating within a similar role;
23. An appreciation of Companies House and its aims, strategies, and plans; and
24. A relevant professional qualification.
