Our Legal, Risk and Compliance practice are looking for an experienced Legal Counsel to join the team.
LegalRisk and Compliance (LRC) partners with the business, providing specialisedlegal, commercial and risk management support to enable confident growth.Everything from shaping and negotiating client and supplier contracts, tostrategic partnerships, geographical expansion, insurance and companysecretarial, restructuring, support for Baringa Enablement (BE- Internalcorporate function), to enterprise risk management.
Baringais now looking to attract a Legal Counsel to work oncommercial contracts with client in the energy sector.
What you will be doing
The Legal Counsel will be workingwith Baringa’s international Power and Low Carbon Solutions (PLCS) team whichprovides economic analysis, due diligence, strategy development andimplementation, risk assessment, business model design and performanceimprovement services to energy clients and their investors. It is expected thatthe role will provide support to other connected Baringa business units andcorporate teams when capacity allows.
This role will be hybrid, working from home but with arequirement to attend our central Birmingham office a minimum of one day aweek.
1. Prepare and negotiate all types of contracts with Baringa’s PLCS clients, their investors and sub-contractors in line with the Baringa Contract Risk Scorecards, working closely with the consultancy staff and engagement partner. These contracts will include Engagement Letters, MCAs, Licence Agreements, Reliance Letters, NDAs, Sub-contracts, etc.
2. Prepare and negotiate supplier contracts, working closely with the relevant consulting team or Enablement team.
3. Deliver contract risk analysis to Baringa’s PLCS senior management and arrange for escalation of higher risk contract items to Baringa’s wider Sector Lead group for approval.
4. Complete Contract Risk Scorecards and Risk Profiles to assess risk to the Baringa business.
5. Liaise with Baringa’s insurance brokers to ensure client contract language during negotiation remains within coverage.
6. Collaborate with PLCS and others across the Enablement team as required, including on use of technology, and continuous improvement related to delivery of Baringa’s energy reports.
Your skills and experience
7. Either a qualified solicitor or barrister in England & Wales or a commonwealth country, (we are open to PQE level), or an experienced commercial contracts manager.
8. Good commercial law experience (with emphasis on contracts essential)
9. Confident negotiator with skillset to handle complex discussions with large international clients, banks and their external law firm advisers
10. Understanding of international business practices and cultures
11. Ability to work with senior stakeholders and fit into a small and busy legal function
