Assistant Legal Counsel Application Deadline: 1 February 2025 Department: Legal Employment Type: Permanent - Full Time Location: London Description The Assistant Legal Counsel/Legal Counsel is responsible for providing assistance and support to Davies' Head of Legal and the Davies Insurance Solutions legal team, with a keen focus in supporting and managing all legal issues within the Asta Managing Agency part of the Davies Insurance Solutions business. This position involves managing, negotiating, drafting and reviewing a broad range of commercial and specialist contracts. The role requires strategic oversight and a deep understanding of commercial and insurance law, with a focus on Lloyd's of London and managing agency and syndicate structures. Key Responsibilities Support and advise Asta Managing Agency on all legal matters, including, contractual arrangements with its third-party syndicates under management and all syndicate legal arrangements. Support and advise the wider Davies Insurance Solution division on all legal matters, including insurance intermediation arrangements and captive insurance management. Advise on all matters of commercial and corporate contractual issues, including intra-group, third-party suppliers, syndicate specific contractual arrangements and standard commercial client arrangements. Apply effective risk management techniques and offer proactive advice on possible legal issues/risk with a view to offering proactive solutions. Ensure that all contracts accurately reflect business interests while minimizing legal and financial risk. Provide technical knowledge and advice surrounding legal and regulatory issues - including specific queries on Lloyd's requirements and PRA/FCA rules and regulations applicable to insurance companies and insurance intermediaries. Assist with the development of contractual templates and legal processes aimed at achieving consistency across legal advice and legal documentation. Assist with overall contract management - working with the Legal and Company Secretarial Team to keep accurate and up to date records. Support the Legal Team in identifying legal exposures and providing legal updates to the business. Work closely with internal business functions within the Davies Insurance Solutions division and wider Davies Group business functions to ensure alignment on contractual terms and business objectives across the Group. Assist the Legal Team in providing training and guidance to the wider organization on commercial contracting best practices and legal considerations. Skills, Knowledge and Expertise •Exceptional communication and interpersonal skills, with the ability to build relationships with senior management, internal teams, and external partners and clients •Strong negotiating, drafting and analytical skills •Strong understanding of commercial, insurance and regulatory contracts, with a focus on Lloyds, PRA and FCA regulations in respect of insurer, managing agency, syndicate and insurance intermediaries. •Self-directed and can effectively and independently manage time across various projects and priorities, taking a pragmatic and business-minded approach throughout • Strong attention to detail and strong commercial awareness • Excellent organizational and time management skills, able to work under pressure and meet deadlines. Ability to navigate complex legal challenges with a business-oriented mindset • Strong legal research, legal analysis and problem-solving skills • Ability to drive continuous improvement and processes and procedures within the legal function. Qualifications and Experience needed- • Qualified Solicitor (England & Wales) • Minimum 5 years PQE • Post qualification experience in private practice or another insurance in-house legal team with a focus on Lloyds of London (managing agency and syndicate business) • Financial Services and Insurance experience with a proven track record in negotiating and drafting commercial, regulatory and insurance contracts. • Experience in providing strategic legal advice in relation to commercial and insurance transactions and legal risk management.
