We are looking for a Paralegal to join our Company Secretarial team. The Company Secretarial team forms part of the Corporate department and provides support to a portfolio of UK companies of all sizes. Working in a small team you will primarily be involved in assisting clients and fee-earners to ensure that companies meet their statutory compliance requirements. You will be involved in maintaining companies' statutory registers, dealing with Companies House filings, the formation of companies and drafting board minutes and shareholders' resolutions. You will be responsible for undertaking fee-earning work and helping build our portfolio. You will work closely with the Corporate team and so the role could be a great opportunity for a law or business graduate with an interest in this practice area. The successful candidate will be of graduate calibre with high attention to detail and strong organisation skills. They should have an ability to work well under pressure and be committed to delivering a high quality service and building relationships at all levels. Experience of using Diligent Entities/Blueprint or other professional company secretarial software is desirable for this role. The team operates a hybrid agile working policy allowing employees to work from home (or another UK location) for up to 40% of their time. Responsibilities Assisting and advising clients on matters of company secretarial practice and procedure. Assisting fee-earners in the corporate team and other teams within the firm on matters requiring company secretarial support. Preparing documentation, and correspondence. Maintaining statutory registers of companies using Diligent Entities/Blueprint software. Maintaining statutory records of companies in electronic and hard copy form. Drafting board minutes, shareholders' resolutions and amendments to articles of association. Preparing Companies House forms, ensuring compliance with statutory filing requirements. Performing searches with Companies House and other agencies and registries. Advising on and dealing with the formation of new companies and changes to existing ones. Dealing with the reconstitution of statutory registers and the correction to company records. Monitoring and re-directing Registered Office post. Dealing with basic accounts procedures to include, invoicing and obtaining relevant accounting information from the accounts system. Dealing with enquires from contacts, clients and other staff members where appropriate in a prompt and professional manner. Updating legal/IT working knowledge as appropriate and attending seminars/courses as necessary Business development to help build portfolio of client companies. General office administration. Assisting other staff members and other duties as directed. Essential & Desirable Criteria Graduate calibre - with interest in company secretarial practice / corporate. Experience in company secretarial practice or able to demonstrate a desire to progress their career in this practice area Good drafting skills. High attention to detail. Strong organisation. Committed to delivering a high quality service. Ability to communicate effectively and professionally with a range of clients and contacts and build relationships at all levels. Proven ability to work well under pressure and recognise and meet deadlines. Relevant IT skills.
