The Opportunity: We are delighted to be recruiting for a Head of Legal to join us at our Bristol HQ. This rare opportunity is a permanent full-time role and offers the benefits of flexible hybrid working. Typically, this would require on average 2-3 days in our Bristol office per week with a choice of working from home on the other days (following an initial induction period). Responsible to the UK Chief Finance Officer (CFO) for the Legal and Corporate Secretary function, you will have a strong personal commitment to the mission and values of the Bank. As Head of Legal you will work closely with both the UK management team (on both banking and non-banking activities) and the wider Triodos Group legal function including General Counsel and local Heads of Legal. In addition, you will hold responsibility for key external relationships providing legal support to the Bank. Other key areas of responsibility include: Oversight and management of local Legal risks (identifying, recording, assessing, mitigating, and monitoring) Providing a proportionate level of in-house legal support to the TBUK business and Group Legal team Management of TBUK’s relationship with external legal counsel Keeping to date with legal developments impacting TBUK alongside creating and maintaining Legal awareness across the TBUK business (including dissemination of relevant information and learning) Responsible for the Company Secretarial function within TBUK, accountable for the provision of Company Secretary and Corporate Governance arrangements to the Senior Management Team and Board. Providing effective budgetary control and efficiency What we are looking for: Senior level qualified lawyer - prior experience at partner/legal director level (from private practice) or other head of/senior inhouse legal position (preference for 10yrs PQE). Strong level of experience in leadership, managing a small team of professionals, controlling different workstreams and working autonomously/independently is essential. Specialist UK legal experience in the areas of Financial Regulatory or Financial Services - a background in Banking and Finance or Commercial law within the FS sector also considered. Experience in payments, savings and investment products would be beneficial. A good working knowledge of UK corporate governance frameworks, Conduct of Business (COB) obligations and the requirements of the Senior Managers regime to guide leadership team around SMCR responsibilities and implications. A strategic and working knowledge of the Financial Conduct Authority (FCA)/Prudential Regulation Authority (PRA) - knowledge of the European financial sector regulations and structure is also beneficial. Strong awareness of the Corporate Secretarial function within a UK financial institution, the company secretarial role and responsibilities including corporate governance requirements, best practice and managing effective Board interaction. Demonstrate genuine commercial acumen and a pragmatic approach, able to quickly identify legal issues, manage legal risk, take decisions, and provide commercial and business appropriate solution-based advice.
