Main purpose of job:
Provide assistance to the Assistant Company Secretary and the co sec team, to provide high quality, professional company secretarial and corporate governance services to the business and to ensure a smooth operation of the Group and clients’ boards and committees meetings; be a team player and work closely with the Assistant Company Secretary and the other Company Secretarial Assistant/Administrator, providing cover in their absence.
Key Tasks
1 -Organize, prepare agenda, collate and circulate board packs, attend and minute internal and client Board meetings and Committee meetings, as required and as may be requested by the Assistant Company Secretary. Prepare and distribute minutes and action schedule for these meetings within seven days. Upload board packs and action points onto SharePoint.
2 -Provide cover for any team member in their absence (including attending and minuting meetings, if requested) and provide assistance to other members of the team during busy periods.
3 -Assist with Companies House filings (as required), including annual Confirmation Statements and Statutory Accounts as well as any ad hoc filings, as required. Assist with drafting of resolutions, as required.
4 -Maintain good corporate governance for the Group including keeping up to date meeting attendance records, reviewing/updating terms of reference and policies and procedures for Group (as required). Maintain and update the Committee membership list, group structure chart and statutory books for the Group.
5 -Provide support to the team (including responding to auditors' request for information), executive and non-executive directors, respond to queries and assist all members of staff on any company secretarial or governance queries.
6 -Undertake any project work as requested by the Assistant Company Secretary.

Key Technical Skills/Knowledge/Professional Qualifications Required:
1- Progressing, about to embark/interested in pursuing or completed ICSA Professional Programme
2- Good working knowledge of company secretarial “bread and butter” issues – (procedures for annual returns, appointment and termination of directors, issues and transfers of shares, directors and shareholder resolutions).
3- Minuting experience, particularly gained in a Lloyd’s platform preferred. Proven ability to produce quality minutes in a technically challenging environment.
4- Broad awareness of the Companies Act 2006, FCA/PRA and Lloyd’s regulation and corporate governance.
5- Knowledge of Blueprint, Sharepoint and Diligent
6- Strong working knowledge of all Microsoft Office packages, particularly Word
