This is an exciting opportunity to join this small, friendly private company secretarial function of a highly regulated financial market infrastructure. The team look after the Board, four Board Committees, an Executive Committee and a User Committee. Reporting to the Company Secretary, you will provide senior level company secretarial support and governance advice as required. Candidates looking for a broad ranging, busy and challenging role would find this appealing. To be considered you must be adaptable, self-motivated and with the ability to pro-actively run governance related projects and the processes associated with Board and committee cycles. Responsibilities include: Pro-actively managing at least two committees by ensuring effective preparation for, administration of, and follow-up of, all meetings. Provision of guidance to directors, advising them on their duties and responsibilities at both induction, upon request and more generally when necessary or desirable. Provision of advice on corporate governance and regulatory matters to key-stakeholders in the business. Undertake a range of ad-hoc projects relating to governance matters. Undertake annual projects relating to the work of the Corporate Secretariat team, suggesting improvements and innovating new processes. Stay up to date with changes in law, regulation and best practices, proactively suggesting improvements to templates and procedures (including through the use of technology). Act as a support to, and be willing to deputise for, the Company Secretary on occasion. Maintain/lead all aspects of UK corporate regulatory filings and corporate records via Companies House and Blueprint. Ensure compliance with Company policies, regulatory, professional & legal requirements. Key experience: ICSA qualified with at least 8 years of quality Board and Committee Support and Corporate governance experience. Comfortable being responsible for supporting all aspects of a number of committees with minimal supervision and interacting with senior stakeholders, such as directors and executive committee members. This is not an administrative role and requires someone able to engage with difficult concepts, understand priorities and see the links between items. Ability to minute complex and detailed discussions. Sound understanding of the Companies Act, Corporate Governance Code, typical Corporate Secretariat practice and, ideally, Financial Services Regulation. Accomplished computer skills, ideally with experience using Blueprint, Diligent and SharePoint. Must be a confident communicator both written and verbal. This person must be comfortable interacting with the Board. Must have an attention to detail and the ability to explain why something is done, researching points as needed. Must be able to think critically and seek to understand the work of the company to add value. Highly organized but not to the detriment of flexibility and quick actioning. Able to prioritize effectively and manage multiple competing tasks. An ability to produce quality work quickly and accurately. Ability to mentor and train more junior team members.
