Competitive salary Hybrid working Flexible working hours Pension Scheme Private medical insurance Dental plan Life assurance Income protection & Critical illness Purpose of the Job To manage the Ocorian London office Corporate Services offering specifically the provision of company secretarial services to a designated number of corporate clients ensuring best practice delivery of corporate governance and company secretarial principles. The active management of deadlines and timescales is key to successful delivery. As well as being a subject matter expert (SME) for UK Corporate Services and to work closely with our Business Development team to develop new business. Main Responsibilities To convene, attend and take minutes at board meetings of Corporate entities, recording discussions and decisions, drafting accurate minutes, liaising with administration teams (appropriate levels of staff) for comments prior to external circulation. To liaise with Board members and other relevant parties in respect of meeting arrangements and compliance with formalities. To manage the timely preparation of board minutes in line with the stipulated timeframes for agendas, minutes and action points arising from those meetings. To provide company secretarial support to the Ocorian's corporate clients for the set-up of corporate entities and LP's in the UK as well as maintaining company records, share and registrar functions and system maintenance. To ensure adherence to good corporate governance principles concerning all Company Secretarial matters. To make all required filings with Companies House and to ensure that all continuing corporate governance obligations are met. To prepare agendas, notices, proxies and other supporting documents for General Meetings, including liaison with relevant legal advisors. To ensure that statutory filings (or other similar jurisdictional requirements) and payment of relevant fees are completed within statutory time frames. To ensure that relevant resolutions are passed to comply with statutory requirements and to create corporate statutory records are set up on Viewpoint/NavOne for all new entities. To input changes into the Viewpoint/NavOne systems in accordance with agreed procedures and to ensure that corporate documents are scanned and indexed in the Document Management System in the correct place in accordance with filing structure. To provide other related support services as and when required. To streamline, adapt and implement appropriate procedures to ensure best practice delivery of corporate governance and company secretarial principles within the Company to Corporate clients To assist in the production of monthly reporting and statistics on the performance of the Company Secretarial department. To assist in the prepration of new business proposals and liaise with the corporate sales team to support business development Qualifications Required Knowledge, Skills & Experience Experience of working in a Company Secretarial/ Corporate Services role within the UK including listed experience. Either qualified CGI/STEP or equivalent qualification (or advanced training toward these qualifications) would be an advantage. Good practical knowledge of the applicable corporate governance codes and Companies House. Excellent presentational skills and client service skills including the ability to manage client expectations. The ability to keep clear and concise records and to add value to the Company Secretarial role. Good experience of writing concise and accurate minutes. The ability to work under pressure and to strict deadlines. Very good working knowledge of Word, Excel, Adobe etc and a willingness to become proficient using new software packages including, Board Intelligence. A working knowledge and experience of Viewpoint, NavOne and/or other systems would be preferred. Excellent communication skills and the ability to work well within a team as well as on own initiative. Excellent organisational and planning skills to reduce/avoid operational pressures and plan ahead to ensure service standards are always met. Professionalism and the drive to work collaboratively to make continuous improvements in processes. The ability to interact with colleagues at all levels in the Company and to gain the respect of staff and clients.
