The Role
This is a fantastic opportunity for a Company Secretary to join a dynamic team, providing essential governance support to the Board and subsidiary entities. Key responsibilities include:
* Chairing and supporting Board and Committee meetings, drafting agendas, preparing minutes, and ensuring governance best practices.
* Advising on corporate governance matters, ensuring compliance with regulatory obligations, Corporate & Crime Acts, and FS Acts.
* Overseeing governance frameworks across multiple jurisdictions, with a preference for candidates familiar with company secretarial matters in India.
* Managing UK corporate filings and liaising with overseas advisors to ensure timely compliance.
* Working closely with senior leadership, directors, and external advisers to uphold best governance practices.
* Preparing governance reports, board packs, shareholder resolutions, and maintaining entity records.
About You
The ideal candidate will have:
* 2-4 years’ experience in a company secretarial or governance role.
* Strong boardroom experience, including minute-taking, agenda setting, and liaising with senior stakeholders.
* Expertise in corporate governance, regulatory frameworks, and compliance with UK and international requirements.
* Familiarity with multi-jurisdictional governance, with a preference for candidates experienced in India.
* Experience using Diligent Entities or similar entity management systems.
* Ability to manage competing deadlines and work across departments including Legal, Finance, and Compliance.
