Our customer, a British utilities company is seeking candidates to join their Legal team as Governance Director. This key role is within the Legal Services directorate, with responsibility for leading the board and board committees’ secretariat and overseeing all corporate governance activities. You will work closely with board members (non-executive and executive directors) and colleagues across the organization to ensure that governance and decision-making processes meet the highest standards and operate efficiently and effectively.
In addition to managing the corporate governance framework, you will lead and develop the Enterprise Governance and Company Secretariat Team. You will also provide direct support to the Chief Legal Officer, Executive Team, CEO, Board, and Shareholders as needed. You will attend Executive and Board Meetings as Company Secretary.

Responsibilities:
* Develop and maintain strong, positive relationships with key stakeholders, including the CLO, Executive Team, CEO, Board, Shareholders, legal function, and wider business.
* Oversee the Enterprise Governance and Company Secretariat Team, offering mentoring and coaching to team members as needed.
* Maintain a thorough knowledge of the business, legal, and regulatory framework.
* Ensure that all company secretarial services comply with statutory powers, licenses, internal governance, financial covenants, and other applicable laws and regulations, including compliance with listed debt requirements on stock exchanges.
* Advise the business on the application of the Group’s Delegation of Authority and signing policies and maintain the powers of attorney register.
* Deliver company secretariat services professionally, ethically, and within allocated timeframes.
* Ensure the quality of meeting papers and advise on the governance routing of proposals and commissioning of papers.
* Produce and supervise accurate, timely minutes, matters arising summaries, board reports, and packs with attention to detail.
* Maintain accurate records and provide timely reports to Executives, the Board, regulatory authorities, and other relevant bodies.
* Collaborate with key stakeholders to prevent surprises and ensure smooth governance processes.
* Engage with transformation and other executive-sponsored programs to drive operational change and enhance the safety culture and performance of the organization.
* Support the team and assist in other non-specialist areas, including providing additional support to the legal services function as required.
Experience required:
* Relevant Company Secretary experience.
* Preferably, experience in regulatory sectors or the gas distribution/infrastructure industry.
* Ability to maintain confidentiality at the highest level.
* Capacity to work respectfully in a sensitive environment within the wider legal services function.
* Exceptional attention to detail, diligence, and commitment to continuous improvement.
* Strong understanding of company law and governance requirements.
* Excellent written and verbal communication skills.
* Resilience under pressure.
* Flexible thinking and the ability to adapt to change and work collaboratively.
* Proficiency with Board Intelligence, Diligent, Blueprint, or equivalent systems.
* Proficiency in Microsoft Word, Excel, PowerPoint, Adobe Acrobat, Teams, and SharePoint.
