What you'll be doing As a Company Secretarial Assistant you will work closely with the General Counsel and Company Secretary in providing high-quality advice and specialist support across a broad range of company secretarial tasks and activities. This role is pivotal in ensuring the smooth running, administration, and effectiveness of the On the Beach Group plc Board and its committees. Due to the highly confidential and sensitive nature of the information involved, a high degree of discretion is essential. This position is part of the wider legal team, and support to the broader team may be required based on workload demands. About you This is a diverse role, with responsibilities varying throughout the year based on the Group’s corporate governance priorities. It is a collaborative role that involves working with teams across the business on various workstreams, necessitating strong relationship-building skills. Examples of the types of work this role entails include: PLC Compliance: Assist in ensuring compliance with the UK Corporate Governance Code, Companies Act, UK Listing Regime, and other relevant legislation. Support the Company Secretary with statutory compliance processes, including those related to the UK Market Abuse Regulation. PLC/Mandatory Reporting Requirements (including Annual Report): Support all PLC and mandatory reporting requirements. Collaboratively manage the production of the Annual Report & Accounts, including drafting and coordinating information gathering from other teams. Manage year-end processes and plan ahead to gather relevant information in a timely manner. Shareholder Engagement & AGM: Assist the Company Secretary with shareholder engagement on governance matters, including the coordination of shareholder consultation exercises and business-as-usual shareholder matters. Maintain up-to-date shareholder analysis and the corporate website. Support the effective organisation of the AGM, including document production, mailings, and engagement with shareholders and their representatives. Board Administration: Support the Company Secretary in planning the annual rolling calendar for the Board and Committees, ensuring all relevant strategic and governance matters are scheduled, planned, and executed. Assist in arranging annual board evaluations and director appraisals. Prepare agendas and papers for the Board and Committees, ensuring timely and high-standard delivery. Manage the preparation of Board packs via the board platform. Attend Board/committee meetings and prepare draft minutes for review. Share Scheme Administration: Support the delivery of executive and other employee share scheme activities. Filing and Record Keeping: Assist with corporate record keeping, including compiling and maintaining corporate books and records for the PLC and its UK subsidiaries. Manage all filings with Companies House, the National Storage Mechanism, and any other filing requirements. Maintain appropriate records to demonstrate compliance with PLC requirements (e.g., MAR classified and insider lists, disclosure committee minutes, records of delayed disclosure, share dealing clearances). Sustainability/ESG/TCFD: Support the Company Secretary with ESG/sustainability/TCFD compliance, reporting, and disclosures. Skills, Knowledge, and Experience : Qualifications: ICSA/CGI qualified or part-qualified. Professional Experience: Previous experience in a company secretarial or governance role, ideally within a listed company. Proficiency in company secretarial administration, including managing board processes and routines. Technical Skills: Excellent minute-taking skills and experience in preparing agendas. Strong IT literacy, with the ability to utilise relevant software effectively. Legal and Governance Knowledge: Solid understanding of company law and corporate governance issues. Communication and Interpersonal Skills: Confident and articulate, capable of supporting executives and board members. Able to build trusting relationships and establish credibility with key stakeholders. Excellent written and verbal communication skills. Work Ethic and Attitude: Ability to meet tight deadlines and thrive in a fast-paced, dynamic environment. Strong organisational, planning, and time management skills, with meticulous attention to detail. Competent in prioritizing work and handling pressure with integrity and discretion. Positive can-do attitude and willingness to be flexible within a team setting. Eager to learn and develop knowledge in legal and business matters. General commercial awareness. Teamwork: Strong team player, willing to assist team members and take on new tasks as needed. Proactive and driven, ready to tackle new challenges even without prior experience.
