Job Description
Our Global client is a high-growth, world-leading provider of studio facilities to the film and television production industry worldwide. This a newly created role within the business, ideal for a motivated and talented Lawyer. Whilst well supported by a team of external lawyers, the successful candidate will work autonomously and report directly to the UK-based European General Counsel.
This role requires the provision of commercially focused legal advice on a variety of legal issues primarily arising in the UK but increasingly in Europe, primarily in general commercial law, including drafting and negotiating a wide range of business-to-business commercial contracts.
Main Tasks & Responsibilities:
5. Assist with the legal function in Europe, providing strategic legal advice on operational issues, covering commercial, compliance, and governance, litigation, and corporate legal matters.
6. Work cohesively with a team of legal experts to provide sound advice across the company’s operations (whether in-house or externally).
7. Assist with moving into new markets in countries with different laws and regulations.
8. Serve as the legal point of contact for all internal legal matters.
Commercial law shall include:
9. Draft, review and negotiate terms and conditions to ensure products and services are offered to customers with appropriate, legally compliant competitive terms and conditions.
10. Draft, review and negotiate general non-sales contracts such as: NDAs; consultancy agreements and collaboration agreements.
11. Ensure appropriate legal support on all non-standard strategic agreements (in-house or via external counsel).
12. Liaise with Group Legal as appropriate in connection with any of the above.
Compliance:
13. Work with the finance team to evaluate and analyse the current compliance position and risk management techniques and procedures.
14. With the support of Group Legal, advise on matters pertaining to compliance and governance
Corporate Law:
15. Managing drafting, evaluation & negotiation through to execution business asset and/or share purchase agreements.
16. Working with the finance team, managing legal entities to ensure their compliance with applicable laws and changes required to maintain the same, supporting group projects such as restructuring, reorganisations, financing transactions and investment.
Person Specification:
17. Qualified Lawyer/Solicitor with a minimum of 2+ years post qualification experience
18. University graduate with strong academic qualifications
19. Desire to take ownership of and responsibility for discrete legal projects
20. Highly motivated, team player, capable of handling legal work autonomously
21. Ability to work under tight deadlines and manage and move between changing business priorities
22. Confidence to interact with and provide support to senior business stakeholders across international business units in the UK, EU and USA
23. Tenacity to see jobs through to full completion and chase down outstanding items
24. Highly organised and with good attention to detail
25. Excellent written and verbal communication skills
26. Willingness to tackle basic and straightforward matters with the same diligence and commitment as sophisticated / complex work
27. Passion for the film and TV production sector
Additional Considerations
28. German or Hungarian language skills would be advantageous but by no means essential
29. Previous experience in real estate and/or employment practice areas a bonus
