Job Summary: The Legal Counsel is responsible for providing legal advice and managing customer, vendor, and business partner contracts in the EMEA/ASIA Portfolio, focusing on the UK Region while supporting other territories as needed. The legal counsel will report and work closely with the Senior Legal Counsel for the UK and collaborate with the rest of the European legal team. Furthermore, the Legal Counsel will support portfolio acquisitions and related legal issues, including performing due diligence, negotiating transactional agreements, and assisting with closing and integrating the acquired business Job Description: The position requires an articulate, self-motivated individual with strong organisational skills and great attention to detail. In addition, the candidate must have excellent interpersonal skills to work with people at all levels people at all levels across multiple companies in various jurisdictions. The ability to prioritise and strong verbal and written skills are also required in this position. A legal background and/or experience working with software or tech-related companies would be an asset. This role is also eligible for permanent remote work status. Job responsibilities: Drafting, reviewing, negotiating, and administrating a variety of contracts, including software license, maintenance and support services, consulting agreements, sub-contractor agreements, projectspecific agreements, and non-disclosure agreements to maximize financial and operational performance. Reviewing documents (including responses to public and private tenders) for acceptability and compliance with company standards, policies, and procedures. Develop and submit contract management policies, procedures, and processes for approval. Ability to customize existing templates, create templates, draft new agreements to fit project requirements, and effectively negotiate terms with customers and suppliers. Build and maintain positive relationships with business partners. Assess and evaluate the risks associated with new and existing contracts. Research multiple international jurisdictions and recommend best practices and improvements to contract processes. Assisting in performing due diligence and other M&A activities, i.e. drafting, reviewing, and negotiating mergers, share, or asset purchase agreements, disclosure letters, letters of intent, NDAs, board resolutions and other related agreements. Managing post-close legal integration tasks. Assisting in policy development and training as required. Performing administrative duties, including, but not limited to, board minutes and resolutions, regulatory filings and company onboarding. Providing legal advice, where appropriate, to relevant stakeholders. Other duties shall be assigned as required. Core Competencies Strong verbal, written, and problem-solving skills. Ability to enforce rules, policies, and procedures. Requirements • 5 years experience in an international law firm or legal department. Must be a qualified lawyer in the UK Proficiency in English; additional languages, e.g., German, Norwegian, Swedish, Italian, and French, are an advantage. Experience in a telecommunication and/or software environment is considered an asset. Background and/or experience in public procurement. Comprehensive knowledge of software and related rules and regulations. Resourceful and flexible; able to quickly adapt to an intense and changing work environment.
