Governance Manager (Hybrid or Home Working Dependent on location)
Hybrid Working with 2 days in Preston, Lancashire or Fully remote dependent on location, with occasional travel required.
Salary circa £50,000 to £60,000 DOE 37 hours a week
A glance at the role:
We are currently seeking a Governance Manager, to provide an effective governance framework for LPPA. This includes company secretarial services, the organisation of meetings, minuting and adherence to the appropriate constitutional documents. In addition to standard company secretarial activities we are looking for a governance professional who either has knowledge of public sector procurement or is willing to upskill in this area. You will lead our vendor management and embedding of supplier management within the organisation, maintain our procurement records and run low level new procurement activity.
This is an excellent opportunity for a motivated self-starter to come and drive a governance function.

What you will be doing:
•Governance: Maintain business appropriate standards of corporate governance for LPPA by delivering full professional company secretarial services to all stakeholders and the LPPA Board in accordance with The Companies Act 2006.
oEnsuring the LPPA Company Secretary records, policies and procedures are maintained, remain effective and proportionate. This includes management of Companies House records.
oTaking a strategic approach to governance issues in LPPA and ensure that LPPA is fully compliant with all relevant applicable legislation.
oEnsure activities meet and integrate with the organisational requirements for quality management, health and safety and environmental policies and comply with the legislative framework within which LPPA operates. This includes maintenance of the policy framework and drafting policies as required.
oDevelop and maintain strong relationships with LPPA Board and LPPA Executive Leadership Team.
oFacilitate and produce comprehensive records of LPPA Board and Committee meetings.
oManagement of appointment of LPPA’s Directors (Executive and Non-Executive) including providing a full governance service from appointment to the end of their term, where appropriate.
oManaging risks associated with governance activities
oELT, Board and committee meeting management including diary management, minuting all formal meetings and electronic uploads
oManagement of governance projects including appointment of new NEDs, board effectiveness reviews, changes in the way board and committee meetings are managed using technology such as electronic board packs.
oProviding input from a governance perspective into the Annual Report and Accounts
oReviewing and updating Articles of Association, constitutional documents, schemes of delegations and terms and conditions for NEDs.
oManagement of conflicts of interests policies and practices, gifts and hospitality, board codes of conduct.
oPre-empting director queries and being the first point of contact for all governance relates queries.
oLeading on board succession, performance reviews, and management of strategy sessions as required
•Procurement Practices. Responsibility for advising the business on procurement activities and best practice related to Contracting Authorities and public procurement principles in line with Public Contracts Regulations 2015 and subsequent regulations. This includes ensuring templates/process notes and business advice is available.
•Supplier Database: Develop a supplier database for the business. Provide regular monitoring of suppliers ensuring they are operating in line with LPPA’s expectations including establishing processes for pre-appointment due diligence, compatibility of the key policies of suppliers, and pro-active monitoring of contractual renewal dates in the run up to procurement activity.
•Management Reporting: Preparing clear and timely management information reporting for LPPA Board or Committees and LPPA ELT as appropriate.
•Engagement: Develop and maintain strong relationships with other LPP Group company secretarial teams that have touchpoints with the administration business and provide appropriate advice on governance issues as required. Management of Contract Safe.
•Lead, shape and implement a CSR strategy.
What We need from you:
•A proactive, self-motivated team player who can work independently with minimal supervision, manage a high personal workload with multiple deadlines and continually strive for improvements in quality, efficiency and presentation.
•Extensive relevant experience, working in a governance role, ideally within the private or not for profit sector.
•The necessary gravitas and communication skills to deal with all senior stakeholders, including the ability to advise on corporate governance matters and influence and build good working relationships at all levels both internally and externally.
•Effective written and verbal communication and expertise at providing Board reports and governance polices/manuals. Including excellent organisational and minuting skills.
•ICSA qualified or equivalent, or progressing through the ICSA qualification programme
•Possess company secretarial experience including designing and delivering governance frameworks to best practice standards.
•Ideally have an understanding of the requirements of a Contracting Authority under the Public Contracts Regulations 2015, or be willing to undergo training to develop this area.
•Experience of the breadth of the diversity agenda including embedding good practice and an understanding of LPPA’s and the public sector’s commitment to combating discrimination and promoting equality of opportunity
•Highly developed analytical skills and the ability to present reasoned and convincing arguments to support and/or challenge a proposal.
•Excellent level of numerical, analytical, ICT, and report writing skills to assist in the communication of key messages and to facilitate discussions and decision.
