The Role
As part of Trayport's legal team you will also be part of the wider TMX Legal & Corporate Affairs team (LCA). You will be reporting to the Head of Commercial and Legal and will be responsible for advising and managing Trayport Limited and its affiliates' stakeholders on a variety of commercial and transactional matters across the enterprise.
Responsibilities
* Draft, review and negotiate a broad range of contracts on behalf of various internal lines of business.
* Work closely with the vendor management team on all types of supplier contracts, including technology and intellectual property licensing, software development, outsourcing, professional and support services and service levels, proof of concept, consulting services, purchasing, distribution, revenue share and other commercial agreements
* Work with business lines to develop and maintain standard form agreements for products and services offered by the company in support of strategic initiatives and in the ordinary course.
* Support the contract requirements for multi-faceted commercial transactions, including strategic projects and business alliances, internal reorganizations, acquisitions and divestitures
* Provide legal advice and support for the development and execution of commercial strategies and initiatives, including support for the development and launch of new products/services and the procurement of new businesses, assets and technologies and outsourcing transactions
* Provide legal advice and support on a wide range of day to day commercial matters, including
technology initiatives,
intellectual property,
information security,
corporate policies,
contract interpretation,
GDPR and privacy-related matters,
competition law compliance,
liability and legal disclaimers,
promotion and marketing materials,
financial regulation,
dispute resolution and litigation management,
procurement and supplier management,
The Person
* Practicing in England and Wales or European-qualified, with membership in good standing with the Law Society or a similar designation in another European jurisdiction.
* A solid understanding of technology, data rights, and Software as a Service (SaaS). Experience with API licensing is a plus.
* A qualified legal professional with at least 3+ years of relevant experience.
* Proven experience drafting, negotiating, structuring, and advising on various types of commercial contracts and transactions, including disputes and matters related to information technology and procurement.
* Strong commercial awareness with the ability to assess risk and provide sound advice to business stakeholders.
* Good overall understanding of intellectual property law and technology-related legal principles, including open source.
* Experience in protecting intellectual property and managing IP portfolios (including trademarks, domain names, patent applications, patents, and copyrights) is a significant asset.
* Excellent written and verbal communication, negotiation, and drafting skills, with a proven ability to exercise sound legal and business judgment.
* Experience in policy management and development.
* Outstanding analytical and problem-solving skills with strong attention to detail.
* Able to handle fast-paced requests and work to strict deadlines while effectively prioritizing workload.
* Outcome-focused and pragmatic, with the ability to simplify legal concepts for business colleagues and non-legal audiences.
