Job Family Group: Business Support Group Job Description: Company Secretary's Office The Company Secretary's Office (‘CSO’) team purpose is to partner with the boards and businesses at bp, facilitating effective decision making through dynamic corporate governance, whilst maintaining the good standing of bp legal entities around the world. This is achieved through focusing on the strategic priorities for CSO: excellence in corporate governance; simplification; building trusted partnerships. Corporate governance at BP p.l.c. has a high degree of breadth and complexity and the structure of the team reflects the aim of a best-in-class service delivery with three UK members of the CSO leadership team individually having responsibility for plc Board and Committees, Corporate Governance and Subsidiary Governance. This role will be required to focus on the delivery of a range of corporate governance deliverables and have the opportunity to grow and develop in the support of senior colleagues to meet the high expectations set out above. Given the scope of responsibilities, working closely with other team members on their related areas will be central to being successful in this role as will the ability to build positive relationships with stakeholders across bp. As a key member of the global CSO team, this role will contribute to the team’s modernisation and transformation journey, including leading the identification and implementation of automation opportunities to deliver efficient end to end workflows. Core company secretarial activities including but not limited to: Oversight and delivery of compliance with UK listed company continuing obligations, including the Listing Rules, DGTRs and UK Corporate Governance Code, in addition to providing support related to bp’s US, German and legacy Tokyo listings Market abuse regulation (MAR) compliance Oversee the full MAR compliance process Draft, update and issue documentation and notifications to list members Responsible for quarterly review and update of lists Annual Report and Form 20-F Assist with the production and delivery of the governance section of the annual report and form 20-F, including drafting key sections Shareholder Management Working closely with bp’s US registrars to oversee US shareholder initiatives including special projects as well as BAU Supporting on s. 116/s.793 requests and other shareholder requests Dividend and share capital processes Support on dividend process Deliver and oversee the maintenance of bp’s share capital processes Supporting on director year-end processes, partnering with an innovation and engineering team to deliver a bespoke Supporting on engagement with shareholders and proxy advisory firms Supporting on AGM operational activities Corporate Governance special projects - working across the plc team in the delivery of special projects and responses to government and other official consultations There will be opportunity to support members of the team in other areas of corporate governance. Over time opportunities may arise across other parts of CSO, depending on the interest, experience and performance of the successful candidate, as well as an active expectation of rotation of work. What you'll need to bring: Knowledge of the UK Corporate Governance regime and corporate legislation Knowledge of UK listing regime Company secretarial role experience High level of accuracy and attention to detail Ability to build credible and effective relationships, be seen as a trusted business partner, maintaining respect and pragmatism in dealings with all stakeholders Ability to work in a team and in a collaborative environment Proactive approach and ability to carry out research independently and share recommendations Experience of working in a fast-paced, complex business Good commercial skills Change management, particularly in process simplification or introduction of technology in delivery of automation Organised and able to adapt to a constantly evolving environment Education / Qualifications Chartered Secretary, lawyer or chartered accountant or equivalent professional qualification Experience Experience in a plc company secretarial environment Previous experience in global energy and / or mining sector is desirable Why Join our team?
