As our Board Secretary, you’ll play a pivotal role in supporting the Board of Directors and Executive Team, ensuring smooth and effective decision-making. Your Key Responsibilities: Reporting to the Chair, with a secondary reporting line into the CEO. Provide expert governance and compliance support to the Board and its Committees. Coordinate and manage Board meetings, including agenda preparation, minutes, and follow-ups. Ensure compliance with legal, regulatory and governance requirements. Maintain and update statutory records, filings, and company registers. Advise the Board on best practices in corporate governance and risk management. Organise and arrange Board meetings, including venue, third party guests, accommodation requirements, catering and taxis where appropriate. Support the Chairs of the Committees in carrying out Committee effectiveness Reviews. Ensure effective coordination and accuracy of terms of reference reviews for all Board and committees. Co-ordinate and manage Non-Executive Directors requests. Board Governance Matters Oversight of directors’ registers, conflicts of interest, inductions, changes (including appointments and resignations) and year-end documentation e.g. director emoluments/confirmations and relevant Board approvals. Oversight of effective Director inductions, workforce engagement and site visit opportunities. Guide the Chairperson and the Board to ensure they are operating in accordance with rules and regulations. Support the Chairperson in ensuring the board functions efficiently and effectively. Preparation and management of the AGM. Work with the Chief of Staff in preparing of the governance elements of the ARA. Regulatory reporting as required. What We’re Looking For: Proven experience as a Board Secretary or Company Secretary in a regulated financial services environment. Strong knowledge of corporate governance, FCA/PRA regulations, and legal frameworks Exceptional communication, organisational, and stakeholder management skills. Ability to work independently while ensuring Board effectiveness. A commitment to upholding transparency, integrity, and the best governance practices.
