Role Summary
In your capacity as Company Secretary, you will be pivotal in promoting, sustaining, and achieving excellent corporate governance within the company. You will manage the administration of formal legal compliance affairs as per the Companies Act and serve as the secretary to the Board of Directors.
Key Accountabilities
Compliance with key statutory and regulatory requirements:
* Monitor legislative, regulatory, and corporate governance developments affecting the company's operations.
* Ensure the Board is fully informed on these matters through the General Counsel (GC).
* Guarantee compliance with the UK Corporate Governance Code standards and disclosures.
* Implement processes and systems to maintain compliance and foster good business conduct.
Effective Governance: Boards and Board Committees, Executive Committees:
* Oversee the implementation of an effective corporate governance framework to ensure robust decision making in line with delegations:
* Ensure effective flow of key proposals through executive challenge and non-executive approval
* Ensure effective flows of management information
* Oversee the scheduling of board and committee meetings to ensure effective goverance
* Facilitate the smooth operation of Board and Committee meetings by setting agendas with the committee Chairs, requesting and preparing papers, taking minutes, and ensuring follow-up actions are completed.
* Advise on Board procedures and ensure adherence through the GC.
* Ensure Board committees are properly constituted with clear terms of reference.
* Ensure actions are tracked and responded to
* Attend Board committee meetings at the Chair’s request.
* Oversee the work of the business support team who manage meetings, agendas and minutes for areas not directly supported by CoSec
Statutory Records:
* Ensure compliance with the Company's Articles of Association.
* Maintain all statutory documents and records, including Articles of Association, share certificates, and stock transfers.
* Administer subsidiary companies correctly and maintain the Group’s structure.
* Support the Finance and Marketing teams with the Annual Report.
* Manage the Company’s register of members and handle shareholdings and transfers.
* Liaise with Pinsent Masons on equity share distributions and ensure appropriate documentation and filing of same.
* File confirmation statements at Companies House.
Requirements
* A relevant degree in law, finance, or business.
* At least five years of experience in a similar role.
* Alternatively, membership of the Chartered Governance Institute UK and Ireland with at least five years of relevant experience.
Skills & Knowledge
* In-depth knowledge of compliance requirements and the Companies Act.
* Substantial experience providing secretarial and administration support at Board and Executive levels.
* Competence in interpreting complex legislation and regulation.
* Proven experience advising a Board of Directors on governance, compliance, and best practices.
* High-level influencing, negotiation, and presentation skills.
* Ability to organise, write, and present formal reports on complex legal and regulatory matters.
* Ability to persuade Directors and the Senior Management Team to follow appropriate policies, procedures, protocols, and guidance.
