Role responsibilities
* Support the Head of Corporate Governance and Compliance by providing company secretariat services, ensuring the smooth running of Transport for Wales’ (TfW) four subsidiary companies and Executive Leadership Team, deputising for the TfW Board, and providing support for the range of activities across the team’s compliance function.
* Supporting the delivery of the corporate governance framework across TfW including its four subsidiary companies by undertaking various company secretariat and corporate governance tasks to ensure compliance with the Companies Act, Managing Welsh Public Money and other internal policies and procedures.
* Provide support to subsidiary board sub-committees and deputising for the Head of Corporate Governance and Compliance where necessary by taking minutes, liaising with chairs to set agendas, maintaining subsidiary company Board registers, previewing papers for inclusion on agendas to ensure that subsidiary boards are compliant with the Companies Act, Articles of Association and framework documents.
* Provide corporate governance advice during and outside of meetings by liaising with internal and external stakeholders through a range of platforms, to ensure compliance with the Companies Act, Articles of Association and framework documents.
* Ensure that accurate records are maintained, by aligning them with corporate governance procedures, to ensure a clear record and audit trail.
Who we’re looking for
* Educated to degree level e.g. Business Studies, law or possess or relevant equivalent experience.
* Experience of working in a corporate governance role.
* Experience of undertaking secretariat duties.
* Experience acting independently with diplomacy and with objectivity.
Welsh Language Skills
The ability to speak/write Welsh would make a great addition to your application, but it is not essential for this role.
Transport for Wales supports and promotes the use of the Welsh Language by employees and will encourage them to develop, improve and maintain their Welsh Language skills. We fully support our people who want to improve their Welsh language skills, and personal development for Welsh Language skills are offered in a variety of ways such as online learning, classroom courses and funding attendance at local community courses.
