Section 2 - Purpose of Job
* To assist the EMEA Group Company Secretary and Deputy Company Secretaries in the performance of their duties.
* To provide company secretarial support across all areas of the Group's activities.
Section 3 - Background
* To assist the EMEA Group Company Secretary, Deputy Company Secretaries and wider team in all aspects of their roles in providing company secretarial services to the Boards, Board Committees and senior stakeholders.
* To provide support in agenda planning, following-up matters arising, reviewing and compilation of papers and, as necessary, minute writing.
Section 4 - Facts / Scale
Main Interfaces:
* Liaising with Executive Directors and Non-Executive Directors to arrange meetings, fulfil documentation requests and provide ad hoc support as requested.
* Liaising across the Bank with relevant stakeholders in the preparation of Board and Committee papers.
* Working collaboratively and proactively with other members of the Company Secretariat and Senior Managers Regime Team.
Section 5 - Accountabilities & Responsibilities
* Assisting in the review of Board, Board Committees and other meeting papers and uploading to Board portal for use by the relevant meeting members.
* Assisting the Group to fulfil documentation requests from the Board and other senior stakeholders as required.
* Assisting in arranging meetings for the Directors, senior management and other parties as necessary.
* Assisting in the logistical arrangements for Board and Committee meetings.
* Maintaining statutory registers and preparing documents for notarisation.
* Assisting in preparation of the Directors' Report and Strategic Review for inclusion in the annual report and accounts of relevant companies.
* Submitting applications on the Anti-Bribery and Corruption Database and related databases to onboard suppliers and maintain and update contracts with existing suppliers.
* Acting as the coordinator of the Group's CSR activities.
* Maintaining the Group's intranet site.
* Participation in project activity as required.
Section 6 - Knowledge, Skills, Experience & Qualifications
Desirable:
* Company secretarial certificate or similar qualification
* Previous experience in a company secretarial role in the financial services sector
* Good knowledge of corporate governance obligations, particularly those required under PRA and FCA rules
* Previous experience of using board book products.
