Your new role
Job Title: Legal Counsel
Term: 12-month FTC (Maternity Cover)
Reports to: Legal Director and Company Secretary
Team: Legal & Governance, Operations Directorate
Salary: £60,000 - £65,000 plus benefits
The team's work covers a broad spectrum of legal and governance matters, from commercial contracts and grant agreements, to advising on intellectual property, charity law requirements around restricted funds, fundraising, campaigning and political activity through to commissioning and collating Board and committee meeting materials and company secretarial duties. This role is key to the development of the team and the work they do across the foundation.
Key Responsibilities:
Charitable partnerships (Impact on Urban Health)
* Draft and negotiate agreements for various charitable partnerships.
* Advise on structuring, legal risks, and strategic implications.
* Maintain correspondence and documentation for commercial contracts.
Grants administration (Programmatic, Hospital funding, and Special fund grants)
* Advise on drafting and executing grant agreements.
* Tailor agreements for different entities and address IP ownership, indemnities, and other queries.
Procedure and policy efficiencies
* Draft, maintain, and update internal guidelines, policies, and standard-form documents.
* Create policy and process efficiencies.
Tailored partnerships
* Advise on legal considerations and processes for specific partners.
* Work on projects to adapt partnership models while balancing charity law obligations.
Cross-functional work
* Collaborate with various teams on legal needs and cross-team opportunities.
* Assist with drafting, negotiating, and advising on documents for property, endowment, HR, and fundraising.
Governance and legal
* Advise on legal and governance matters.
* Conduct legal research and run training sessions on key issues.
* Supervise the team’s paralegal on certain tasks.
What you'll need to succeed:
* Qualified Solicitor and current practising certificate in England & Wales.
* Experience working in the charity sector or within a charity law team in private practice.
* Knowledge of contract law including experience in drafting and reviewing commercial contracts and grant agreements is essential.
* Knowledge of intellectual property, data protection matters and an understanding of basic financial and grants-related terms and concepts is desirable.
* Legal research skills, detail-oriented, with good planning and organisational skills, good interpersonal skills, and a team player.
