What You’ll Be Doing:
If you're looking for a broad, dynamic, and hands-on company secretarial role, this could be the perfect opportunity for you. At Reach plc, we’re looking for an Assistant Company Secretary to join our team on a 12-month fixed-term contract to cover maternity leave. You’ll be working in a small but high-impact team, playing a crucial role in governance, Board support, corporate transactions, and share scheme management.
You’ll be providing expert company secretarial and governance advice across the Group, ensuring best practices are embedded at all levels. From Board meeting support (including preparing agendas, minutes, and governance papers) to leading the Annual Report governance section and AGM organisation, you’ll have the opportunity to make a real impact in this role.
Managing corporate governance across subsidiaries, you’ll maintain company registers, ensure compliance with regulatory requirements, and provide strategic support on major corporate actions and transactions. You’ll also be responsible for share plans and share registration, overseeing employee and discretionary share schemes, and ensuring alignment with regulatory requirements and best practice.
Additionally, you’ll play a key role in the Modern Slavery Working Group, coordinating meetings, drafting statements, and ensuring ongoing compliance. Your ability to think strategically and commercially will be invaluable as you work across multiple business areas, supporting stakeholders at all levels.
What you’ll need to succeed:
You’ll be ACG qualified, with post-qualification experience in a FTSE 350 environment. You’ll be confident engaging with senior management and Board members, providing clear and pragmatic governance advice.
Your knowledge of UK Listing Rules, Market Abuse Regulation, Companies Act 2006, and the Corporate Governance Code will be essential, along with an understanding of stock exchange listing compliance requirements. You’ll have experience preparing Annual Reports and accounts, administering share schemes, and handling regulatory announcements.
With excellent written and verbal communication skills, you’ll be able to translate complex governance matters into clear and actionable insights. Your ability to manage multiple projects, collaborate cross-functionally, and work independently will set you up for success in this fast-paced and varied role.
