Description The role of the Clerk is to contribute towards the efficient and effective functioning of the Local Academy Committees by providing: • administrative and organisational support, • guidance to ensure that the board works in compliance with the appropriate legal, regulatory and Trust frameworks, • advice on procedural matters relating to the operation of the Committees. Effective organization and administration of Local Academy Committee meetings • working with the Chair and Academy Headteacher to prepare agendas and papers, • convening meetings and distributing papers, • ensuring meetings are quorate, inclusive and well-structured, • recording attendance/apologies and taking appropriate action in relation to absences, • taking minutes indicating who is responsible for any agreed actions with timescale, • circulating draft and approved minutes to the members of the Local Academy Committee and others within the timescale agreed with the board, • following up on agreed action points with those responsible and informing the chair of progress. Advice and guidance • advising on board procedures in line with governance practice and Trust requirements, • advising on statutory guidance in relation to the functions of the Local Academy Committees (e.g. suspensions and exclusions review panels), • advising on constitutional requirements in accordance with Committee Terms of Reference, • advising on annual tasks and decisions, • advising on governor training as per statutory and Trust requirements, • supporting the policy review and approval cycle in accordance with statutory and trust requirements. Managing information and documentation • maintaining membership records including contact details of board members, terms of office and informing any relevant parties of changes to membership details, • establishing, in discussion with the board, open and transparent vacancy filling processes and efficient procedures for election and appointment, • assisting with the management of local governor elections where required, • maintaining governing documents including signed minutes, record of training, register of interests and board correspondence, • ensuring correct publication of information about Local Academy Committees on school websites, • working with the Headteacher and Chair to ensure that Disclosure and Barring Service, (DBS) and other relevant checks are carried out on any members of the board where it is appropriate to do so. People and relationships • maintaining professional working relationships with the Chairs, the members of the Committees and school leaders, • working closely with the Chair of Trustees, Director of Governance and others to enable strong links between the Trust Board and the Local Academy Committees, • communicating on board matters outside of meetings, • where appropriate, liaising on behalf of the board (such as for external reviews of governance), • contributing to the coordination of learning and development opportunities for those involved in governance, including induction and continuing professional development.
