Company Secretarial Manager - Full or Part Time
Location: Shrewsbury or Telford with 2 days from home
Annual Salary: £ Highly competitive – we can tell you more on application
Hours: 30-37.5 Days Flexible – can discuss Hybrid (three days in office two at home)
Holidays: 36 days including BH – (Buy back and sell scheme also available.)

We are looking to recruit an experienced Company Secretarial Manager to join our busy team to provide advice and assist with the legal work in relation to our client’s company reorganisations and other corporate transactions.
The successful candidate will liaise internally with the company’s directors and client managers as well as the company’s clients. This role is an opportunity to work as part of an integrated technical advisory support service.
The Company Secretarial Manager will:
* Manage the corporate secretarial services team who deliver for a diverse portfolio of clients, ensuring compliance with regulatory requirements and corporate governance best practices.
* Deliver the KPI’s for the CS team.
* Assist with due diligence corporate restructuring, and mergers/acquisitions as required.
* Advise on company law implications for client companies in relation to all matters relating to shares and voluntary striking off of a Company.
* Advise on Articles of Associations and updating the Articles as and when required.
* Advise on Company Incorporations and see through to the formation of the Company.
* Draft legal documents, including Board Minutes/Resolutions; Members Resolutions; Company House documents; Share Certificates.
* Maintain Statutory Records and all associated documentation on the electronic company secretarial software.
* Responsible for the onboarding of clients and ensuring all regulatory, legislative and compliance responsibilities are maintained and all aspects of Corporate Company Secretary engagement letters.
* Support with the preparation and filing of the annual Confirmation Statements.
* Responsible for the company’s annual filing of ERS returns and identifying reportable transactions.
* Ability to develop their network within the firm as well as working with external law firms.
Requirements:
* Qualified Solicitor/Legal Executive or ICSA/CGI qualified with a minimum of 5 years’ experience in a similar environment.
* Strong knowledge of UK company law, corporate governance, and regulatory frameworks.
* Capable of managing and prioritising own workload.
* High level of technical skills and commercial awareness.
* Attention to detail and strong organisational skills.
* Excellent communication (verbal/written) and interpersonal skills.
* Friendly and professional demeanour with a positive attitude.
* Task focused and self-managing.
* Desire and confidence to challenge and identify areas of continuous improvement.
