The role: Reporting to the SVP Group General Counsel, we are seeking an experienced Company Secretary to provide interim cover for an [estimated 8- 12-week period]. The role is critical to ensuring compliance with legal and regulatory requirements, maintaining corporate governance standards, and supporting the Collinson Board and senior management during this time. Responsibilities: Oversight and management of the company secretarial function (including client correspondence and routine annual Companies House filings). Support of corporate transactions, including drafting board resolutions, shareholder resolutions, waivers and consents, as well as ensuring company books are updated and share certificates and Companies House filings are prepared and completed. The ability to be able to mentor and guide junior members of the company secretarial, trainee and/or paralegal teams. Arranging formation of new companies. Managing the firm's process agent function. Governance and Compliance Ensure compliance with statutory and regulatory requirements Maintain the company’s statutory registers and records, including the register of members, directors, and secretaries. Organise and record proceedings for Board of Directors’ meetings, general meetings, and committee meetings, ensuring accurate minutes are prepared and filed. File statutory forms and returns with regulatory bodies (e.g., Companies House, Securities and Exchange Commission). Advise the Board on corporate governance best practices and legal obligations. Board Support Serve as the primary point of contact for Board of Directors during the interim period. Assist in the preparation of board and shareholder meeting agendas, ensuring proper documentation and distribution of papers. Facilitate director training and onboarding, ensuring members are informed about their legal responsibilities. Risk Management Monitor changes in relevant legislation and regulatory environments and advise on their impact. Experience and skills required: Bachelor’s degree in Law, Business Administration, or related field. Professional certification (e.g., ICSA: The Chartered Governance Institute qualification). Membership in a recognized governance or legal body is preferred. Demonstrate relevant experience in corporate governance, legal advisory, or related fields. Proven experience in managing board-level interactions and statutory compliance. Skills and Competencies Strong understanding of corporate law, governance principles, and regulatory frameworks. Excellent organisational and time-management skills. High attention to detail and ability to maintain confidentiality. Exceptional communication, influencing, and negotiation skills. Proficiency in governance software and tools.
