About the Role: Reporting to the Company Secretary, you will be part of a team that provides a comprehensive governance service for the Everest Lloyd’s Managing Agency and Syndicate in London, Everest Insurance (Ireland), DAC, and the Everest Insurance International business, ensuring ongoing compliance with statutory and regulatory requirements and supporting appropriate governance processes within the Everest Group. You may also be involved in various projects and activities relating to Everest entities and branches in other locations. Role & Responsibilities (include but not limited to): Board and Committee Support Assist in organising and preparing agendas, papers, and minutes for board and committee meetings. Maintain accurate records of meetings and decisions. Statutory Compliance Ensure timely submission of statutory returns and filings to UK Companies House, Ireland’s Companies Registration Office, Lloyd’s, the CBI and other regulatory bodies. Maintain statutory registers and records, including the register of members, directors, and secretaries. Corporate Governance Support the implementation of corporate governance policies and procedures. Assist in the preparation of the annual report and other corporate disclosures. Document Management Maintain and update company secretarial documentation and records. Assist in the management of the company’s legal and regulatory documents. Communication Liaise with directors, senior management, and external advisors on company secretarial matters. Respond to queries from shareholders, regulatory bodies and KYC requests. Administrative Support Provide general administrative support to the Company Secretary, including managing correspondence and scheduling board and committee meetings. Assist with ad hoc projects and tasks as required. Qualifications: Corporate Governance Institute (CGI) – formerly ICSA – qualification or part-qualified, or equivalent. Knowledge, Skills & Competencies : Previous experience in a Company Secretarial or similar role. Knowledge of company law and corporate governance practices within UK or Ireland. Proficiency in using company secretarial software and Microsoft Office applications. Strong organizational skills and attention to detail. Excellent written and verbal communication skills. Ability to manage multiple tasks and prioritise effectively. Experience working in a managing agency, insurance company or financial services environment desirable.
