You will provide legal advice on issues affecting the Association’s business. You will be a trusted counsellor in the following areas: Intellectual Property Rights, Corporate Governance and Regulatory Compliance, Commercial Contracts, and Regional Office Activities and Compliance. You will work with multiple departments that operate globally. You will report to the Assistant General Counsel, UK. This role is remote-friendly.
You Will:
Provide legal counsel on matters related to the Association, the international joint venture between AICPA and CIMA, including the following primary areas of responsibility:
1. Commercial Contracts:
• Review and advise on commercial agreements.
• Work with internal teams to draft and negotiate various business transactions, including with channel partners, tuition providers, content creators, customers and suppliers.
• Advise on global product development, marketing, placement, and related services.
• Partner with business units to resolve contractual and other business-related disputes.
2. Corporate Governance:
• Undertake corporate registration and filing requirements for various regional entities and subsidiaries, including annual returns, and ensure compliance with applicable regulations.
• Liaise with local company secretaries and regional offices on corporate compliance activities.
• Assist regional teams in implementing and operationalising corporate governance proposals, assessing entity structure options and suitability to meet Association and CIMA strategic objectives.
• Work with outside counsel and internal teams in various jurisdictions to ensure local activities comply with corporate requirements.
3. Regional Office Activities:
• Provide advice and counsel on local business activities, including business expansion opportunities.
• Review and advise on various agreements.
• Advise on proposed member activities and various member-focused programmes.
• Advise Regional teams on various matters within their operational purview.
4. Intellectual Property:
• Point of contact within OGC for the global enforcement of IP rights against third parties.
• Advise internal teams on use of Association and CIMA trademarks and copyrights, as well as branding generally.
• Work with outside IP counsel on trademark filings, renewals, evidence of use and oppositions to ensure IP rights are appropriately exercised.
• Work with outside IP counsel to develop and ensure intellectual property licences are in place across organisational entities and subsidiaries.
And additional team projects, as needed.
You Have:
Bachelor's Degree or equivalent legal qualification.
3+ years of prior experience in IP enforcement, corporate governance, or commercial contracting.
Experience working in or with a members, professional or regulatory body.
Drafting Experience.
