Oliver Sanderson are engaged with a leading Construction organisation to source an Interim Group Company Secretary. This is a high-profile position, providing an exciting opportunity for a proactive and strategic governance professional to play a key role in ensuring board effectiveness, regulatory compliance, and corporate governance excellence.
You will act as a trusted adviser to the Board and senior leadership team, ensuring the company operates with transparency, accountability, and integrity. This is a pivotal role, overseeing compliance with relevant legislation, corporate governance codes, and statutory requirements while also supporting the Pensions Company Secretary function.
Areas of focus:
* Drive corporate governance excellence, advising the Board and ensuring compliance with the UK Corporate Governance Code.
* Lead Board and Committee operations, setting agendas, managing papers, and delivering high-quality minutes.
* Ensure statutory compliance, keeping directors informed of their duties under the Companies Act.
* Own the governance sections of the Annual Report, overseeing production and publication.
* Enhance Board effectiveness, managing performance evaluations, external reviews, and director training.
* Ensure seamless execution of key documents, adhering to delegated authority frameworks.
* Manage AGMs with precision, ensuring smooth administration and accurate proxy voting.
* Oversee subsidiary governance, ensuring full compliance with statutory requirements.
* Handle market disclosures, ensuring accurate and timely regulatory announcements.
Skills & experience:
* Qualified Company Secretary (CGI or equivalent legal qualification).
* Extensive experience in a senior company secretarial role within a PLC or similar regulated environment.
* Strong working knowledge of UK Company Law and the UK Corporate Governance Code.
* Proven ability to build constructive relationships with senior executives, board members, and external stakeholders.
* Exceptional organisational and communication skills, with high attention to detail and accuracy.
* The ability to work autonomously while maintaining integrity, discretion, and a hands-on approach.
* A diplomatic and confident manner when supporting senior leadership.
This is a hybrid role based in St Albans, with 2-3 days a week in the office.
