We are working with a highly acquisitive software consolidator, backed by leading private equity investors. This privately owned group acquires and holds B2B software companies, partnering with founders and their teams to drive continued growth. As the company accelerates its expansion, they are seeking an M&A Executive to support end-to-end deal execution.
About the Role
In this role, you will take ownership of the full lifecycle of the M&A process, from target identification and due diligence through to deal closure and post-deal handover. You will be integral to shaping the company’s acquisition strategy, working closely with senior leadership, external advisors, and the founders of targeted businesses. This position offers a unique opportunity to influence the growth trajectory of a dynamic, PE[1]backed consolidator in the B2B software space.
Key Responsibilities
* Deal Origination & Evaluation: Identify, research, and prioritize acquisition targets that fit the firm’s strategic goals and investment criteria within the B2B software landscape.
* Due Diligence Management: Coordinate financial, commercial, and operational due diligence, collaborating with cross-functional teams (finance, legal, tech, HR) and external advisors to ensure
* thorough risk assessment and value validation.
* Financial Analysis & Modeling: Build and maintain sophisticated financial models to evaluate deal structures, valuation scenarios, and potential synergies specific to software companies.
* Transaction Execution: Assist in negotiations, deal structuring, and preparation of key transaction documentation. Coordinate with legal advisors to progress deals to a timely and efficient close.
* Stakeholder Communication: Work closely with the leadership team, founders, and private equity partners, providing regular updates on deal status, key findings, and strategic recommendations.
* Post-Deal Handover: Transfer essential deal insights and documentation to integration teams, ensuring they have the information required to effectively onboard acquired software businesses.
Requirements
* M&A Experience: Demonstrable track record in executing deals within a private equity environment, investment banking, corporate development, or a relevant advisory role.
* Tech/Software M&A Background (Required): Proven exposure to technology or software transactions—ideally in B2B software businesses—is essential.
* Financial Acumen: Strong analytical and financial modeling skills, with the ability to translate complex data into clear, actionable insights.
* Project Management: Skilled at juggling multiple priorities and tight deadlines in a high-pressure, fast-paced deal environment.
* Communication & Stakeholder Management: Excellent negotiation and stakeholder engagement skills, comfortable interfacing with founders, senior executives, and external partners.
