Here at Drax, we are now recruiting for an Assistant Company Secretary which shall be reporting into the Company Secretary This essential function enables Drax to realise the strategic vision of the Group. We achieve this by enabling the effective and proactive management of the governance regime, providing excellent engagement and communication across a range of internal and external stakeholders as well as advisors Reporting to the Company Secretary, you’ll be accountable for leading and managing key aspects of the secretarial support activity of the team. You’ll be required to interact with stakeholders at various levels with a view to explaining and briefing on material matters arising in the course of their work. This will include senior leaders and directors, stakeholders across Investor Relations, Communications, Finance, Tax and Legal. Critical to this role will be your ability to communicate confidently, challenge and critique whilst ensuring appropriate adaptability from the insight, ideas and feedback of others Key accountabilities Within this role, your accountabilities shall include, but not limited to: · Review, interpret and advise on the practical application and implications of key codes, policies and rules. This includes UK Code of Corporate Governance, the Companies Act, the Market Abuse Regime, company share plans etc. · Ensure all group legal entities are in full compliance with their legal and regulatory obligations for the records on corporate actions and routine reports/filings, including annual accounts, annual confirmation statements and statutory records. · Responsible for the details of directors and PDMR interests, tracking and recording immediately any changes thereto and reporting such movements on a monthly basis to the Group Company Secretary. · Responsibility for i) checking and feeding back any comments and ii) once approved arranging release, (sharing with the Company Secretarial Assistant the work) of uploading RNS announcements across all aspects required under the Listing Rules. · Responsibility for preparing the verification of statements for the periodic reporting and disclosures as required under the UK DTR regime by Drax Group plc. This will include liaising and ensuring colleagues respond with valid information in response to the matters under enquiry, challenging responses as required and delivery to tight timescales. · Conduct the Company Secretarial aspects of corporate activities in connection with the delivery of the Group’s strategy (for example M&A, corporate reorganisations). Who we’re looking for Essential to this role is that you’ll be a Qualified company secretary with a minimum of two years post qualification experience, either as an Assistant Company Secretary or minimum of four years post qualification experience as a Senior Company Secretarial Assistant working in an equity shares FTSE250 company. Strong knowledge of Blueprint, Diligent, InsiderTrack (or similar) and RNS shall be required You’ll demonstrate your proven experience in a UK listed company supporting and delivering good governance of subsidiary entities in accordance with the Wates Principles and the Code of Corporate Governance. Critical to this role is your proven experience in leading, managing and delivering projects ensuring high quality outcomes as well as applying your strong knowledge and experience in the application of the UK Listing Rules, Governance Code, the Companies Act, and Market Abuse Regime. You’ll be confident in your ability to constructively influence and lead others in the realisation of project objectives which contribute to achieving high quality outcomes. Essential to this role is your proven ability to deal with situations that require confidentiality and discretion as well as excellent literacy and strong numerical skills, with the ability to achieve consistently high levels of accuracy and attention to detail.
