Role Overview:
Morgan Philips Specialist Recruitment is presently representing a leading energy consultancy firm in their search for a Corporate Governance and Commercial Lawyer to join their team. Reporting into the Head of Legal, the successful candidate will own a broad and varied role with key focuses on corporate governance, company secretarial and commercial legal matters.
Key Accountabilities:
1. The support of existing committees and the development of new committees with appropriate terms of reference and other governance documents.
2. Provision of support to the Board and Senior Leadership Team including the preparation of written resolutions and minutes and the compilation and monitoring of action logs.
3. The provision of advice and support to ensure compliance with company law and the Company’s governance documents.
4. Maintenance of the Company’s statutory and other registers and the development of systems to ensure robust and effective governance.
5. Periodic review, updating and control of standard terms and conditions of contract.
6. Monitoring of legal and regulatory developments within the energy sector and submissions in response to industry consultations.
7. Drafting and reviewing contracts including commercial terms with stakeholders, non-disclosure agreements, consultancy agreements and other contracts when needed by the business and advising on the enforceability and enforcement of the same.
8. Advising on internal policies, processes, and procedures to maintain regulatory compliance and best practice.
9. Advising on general commercial matters including supplier contracts, terms and conditions, data protection, customer complaints and general legal advice.
10. Monitoring and mitigating legal risks.
11. Assisting with the resolution of disputes.
About You:
1. Our client is open to applications from qualified solicitors, legal executives or qualified company secretarial professionals, although;
2. Some experience in all of corporate governance, company secretarial matters and commercial contracts law is required.
3. Prior experience in an in-house legal environment is desirable but not essential.
4. Excellent verbal and written communication skills: you will be able to give legal advice in a clear, concise and well-organised manner tailored for different audiences.
5. A measured and rational approach to problem solving exercising sound judgement and a solid business/commercial awareness.
6. An ability to deliver under pressure and maintain a high level of performance in assigned areas of work.
