About the role
We are recruiting for a General Counsel to provide comprehensive legal support and advice to NFP Europe, across various legal matters. This role involves managing legal risks, ensuring compliance with laws and regulations, drafting and reviewing contracts, and representing the company in any legal proceedings. The ideal candidate will have a strong background in corporate law, with exposure to M&A activities, and the ability to work collaboratively across departments.
Overview of duties
1. Provide proactive legal advice and support to Executive Board of NFP Europe
2. Support with advice and due diligence for M&A activity for acquisitions in UK and Ireland
3. Work closely in partnership with Compliance and HR
4. Identify potential legal risks and provide strategic solutions
5. Work in conjunction with the USA Corporate legal team, keeping them informed of potential legal issues and representing them within NFP Europe
6. Draft, review, and negotiate contracts, agreements, and other legal documents including documents and contracts for clients as well as employment related contracts
7. Advise on employee relations and other employment related issues providing pragmatic solutions with NFP Europe strategic objectives in mind
8. Ensure that contracts comply with all applicable laws and regulations
9. Assist with corporate governance matters, including board meetings, resolutions, and minutes with some Company Secretary responsibilities
10. Ensure adherence to corporate policies and procedures
11. Liaise with external counsel as necessary and manage these relationships
12. Represent the company in the event of legal proceedings, hearings, and negotiations
13. Advise on employment law issues and manage employment-related legal matters
14. Protect the company's intellectual property rights, including trademarks, patents, and copyrights
15. Manage intellectual property portfolio and related legal action
16. Identify and mitigate legal risks associated with business operations
17. Develop risk management strategies and policies in conjunction with Group Operations Director and Group Compliance Director
18. Provide legal training to employees on relevant legal topics
19. Stay updated on legal developments and best practices to ensure continuous improvement
Person specification
Knowledge, skills and abilities:
1. Minimum 4 years of experience in corporate law, preferably with experience as in-house counsel
2. Strong knowledge of corporate, contract, employment, and intellectual property law.
3. Exposure to M&A activity
4. Excellent analytical, communication, and negotiation skills
5. Ability to work independently and as part of a team
6. High ethical standards and professional integrity
Education and/or Experience:
1. Bachelor's degree in Law
2. 4 + years PQE (or equivalent)
