This is your chance to be a key player in First Central's Company Secretariat and Governance team, working with our Head of Company Secretary and the wider team to keep things running smoothly behind the scenes. You’ll be right in the heart of our Executive and Board governance world, making sure everything is compliant, well-documented, and super professional – all while keeping things friendly and approachable.
Must-have skills to be successful in this role:
* Company Law & Governance – Strong understanding of company law and corporate governance, with the ability to apply it in practice.
* Professional Qualifications – Qualified or working towards the Chartered Governance Qualifying Programme.
* Communication & Stakeholder Engagement – Excellent verbal and written communication skills, with confidence in working with senior stakeholders.
* Ability to Work at Pace – Comfortable working in a fast-moving environment, meeting tight deadlines with resilience and accuracy.
* Time Management & Organisation – Exceptional organisational skills, able to prioritise tasks effectively and manage competing deadlines.
At First Central, we’re all about flexibility! Our team mostly works remotely, spending the majority of their time working from home. That said, you’ll need to be based in the UK, with quarterly or ad-hoc visits to our offices in Salford Quays (Manchester), Haywards Heath (West Sussex), Guernsey, or Gibraltar. But here’s the best part – it’s totally up to you! If you prefer more office time, we’d love to have you around. However you work best, we’re here for you!
What's involved:
* Support the Head of Company Secretary in all relevant duties and activities across the First Central Group relating to adherence to Corporate Governance and relevant Company Law.
* Support with the organisation and management of all Group Board and Executive meetings as well as other forums as required, including
o Organising, preparing agendas for, and taking high quality minutes of, all relevant Board and Executive meetings and annual general meetings (AGMs).
o Reviewing Board and Executive meeting submissions and information, providing timely feedback to stakeholders to improve the quality of Board reporting.
o Assisting with the scheduling and coordination of the annual Board and Executive meeting schedule and wider logistics.
* Assist in the governance and oversight of all Group Boards, Committees and additional forums as required, including writing Minutes and recording Actions and Decisions.
* Assist with the management of statutory information held within Co-Sec Software to ensure statutory compliance of our Group entities.
* Assist in the reporting and coordination of Executive Committee and Board materials by collating and drafting Board Packs, working with all departments to coordinate inputs and assure overall quality.
* Assist in the renewal of the Group’s corporate insurance cover for employees, equipment and premises.
* Comply with the requirements and act in accordance with the Group Code of Conduct and Fitness and Propriety policies at all times.
* Ensure compliance with Company Policies, Values and guidelines and other relevant standards/regulations at all times.
Experience, knowledge, skills & qualifications:
* Governance/Administration Experience – Previous experience in a governance or Company Secretary team, ideally within a corporate environment.
* Corporate Governance Knowledge – Awareness of legal and corporate governance processes, including the Companies Act 2006 and UK Corporate Governance Code (desirable).
* Industry Experience – Experience in a FTSE-listed business and/or understanding of the UK Motor Insurance industry (desirable).
* Professional Qualifications – Part-qualified or interested in working towards the Chartered Governance Qualifying Programme (with company support).
* Minute Writing & Reporting – Experience in drafting high-quality minutes, board reports, and governance documents.
* Attention to Detail & Organisation – Meticulous with strong time management skills to prioritise effectively.
* Communication & Stakeholder Management – Excellent verbal and written communication skills, with the ability to engage senior stakeholders.
* IT & Software Proficiency – Confident using Microsoft Word, Excel, and PowerPoint for governance-related tasks.
* Work Ethic & Resilience – Ability to work at pace, meet deadlines, and take ownership of responsibilities.
