Job summary An exciting opportunity has arisen for a talented governance professional to join our team to drive the delivery of a comprehensive corporate governance service to the ICB. This is a dynamic and impactful role that requires a blend of strategic thinking, extensive governance expertise, and strong interpersonal skills. You will be an integral part of a team that works alongside the most senior members of the ICB, including the ICB Chair and Board members, the Chief Executive and the Executive Management Team. In addition, the role will require working with senior management from across the Kent and Medway ICS. The successful candidate will combine excellent subject matter expertise and knowledge of corporate governance, legislation and regulation, with exceptional communication and organisational skills. You will lead and drive the continuous improvement and maintenance of corporate governance processes at the highest standards of probity and in accordance with all statutory and legislative requirements. Main duties of the job o Prime responsibility for the discharge of the ICB's statutory and mandatory functions, providing legal and compliance advice to the ICB Chair, CEO, Executive Directors and the wider ICB ensuring adherence to statutory and mandated obligations, discharging responsibilities deriving from legislation and regulation o Ensuring the ICB's responsibilities under the regulatory framework are complied with, including, those relating to: Management of amendments to the ICB's constitutional documents Production and completion of the ICB's annual report Oversight of the ICB AGM o Act as lead in the pursuance of legal advice facilitating the work of internal and external auditors liaison with the NHS litigation service for the drawing up and/or review of legal corporate documentation (e.g. Section 75 agreements, schemes of delegation, memorandum of understanding, etc) o Development and oversight of the ICB's risk management framework and associated Board Assurance Framework through clear process and liaison with ICB Committee Chairs and key members of the ICB.
