Job Details: Job Description Regional Counsel/Director of Contracts EMEA Job Summary: The Regional Counsel/Director of Contracts for Europe, Middle East and Africa (EMEA), directs all legal activity, contracting and associated commercial actions to win, negotiate, manage and close contracts geographically located and/or managed in the EMEA region on behalf of Cubic. This position is the legal and Contracts business partner for Cubic’s senior program leadership team in EMEA. Provides legal advice and counsel to the EMEA program teams. Manages applicable legal matters in the region, including litigation and interaction with outside counsel. Leads and develops the Contracts team of professionals in the EMEA region. Ensures compliance with contractual terms and conditions for assigned contracts. Manages complex, major systems (and services) prime contracts to ensure that all requirements and obligations are fulfilled. Together with the project management team, proactively anticipates, identifies, analyzes and informs management of the financial, legal and performance risks that can impact success. This position routinely exercises significant discretionary and substantial decision-making authority under limited supervision and direction. Job Duties and Responsibilities: Serves as the lead Legal and Contracts business partner to the EMEA senior leadership team Provides legal advice and counsel to in-region program teams Manages applicable in-region legal matters and interaction with outside counsel Acts as Cubic’s representative in front of customers during negotiations and other contract/commercial activities Manages and develops a team of contracts professionals, providing management, coaching, development and leadership in order to achieve strategic and operational objectives and ensure the team performs to a high standard Directs all contracting and associated commercial actions to win, negotiate, manage and close contracts geographically located and/or managed in the EMEA region on behalf of Cubic including: proposal planning, proposal preparation, administration of contracts, and contract closeout, subject to the applicable authority matrix, including any supporting delegation. Proactively leads the efforts of Contracts leadership, and coordinates with Business Development, Program Management, Engineering, Business Unit leadership, Cost Estimating, and Legal personnel on proposal preparation, review and submittal as well as post-award contract activities. Ensures compliance with departmental and company-wide Contracts policies and procedures so that work performed meets legal, regulatory, contractual and Company requirements Keeps Contracts Department and cognizant functional and program managers informed of outstanding issues that may impact program, departmental and/or Company objectives for assigned contracts. Remains current on legal/regulatory updates affecting contracts and agreements Minimum Job Requirements: Qualifications Essential: Law degree from accredited law school Licensed to practice law in at least one applicable jurisdiction Skills/Experience/Knowledge Essential: Demonstrated experience in a legal setting, preferably with applicable transactional experience Demonstrated leadership ability in Contract Management for high-value contracts for highly complex products and systems, which include development, service agreements, hardware and software installation and maintenance agreements etc., for both commercial and government agency customers Thorough knowledge of prime/subcontract formation and management activities, and proven ability to effectively negotiate complex terms, conditions and price involving major systems. Ability to provide workable solutions to address a wide variety of contractual challenges Must be able to prioritize assignments and meet deadlines with minimal supervision, working extended hours, as required Proven ability to manage, motivate and understand business priorities and requirements Ability to provide sound and strategic legal, contractual and commercial advice High level negotiation, contracts management experience Sound financial management and document control skills Demonstrated people management abilities Desirable: Experience in other financial or commercial management field SAP experience Personal Qualities: Strong research and analytical skills Strong written and oral communication skills a must. Possess interpersonal skills necessary to interact in extremely delicate, sensitive and/or complex situations dealing with state and local transit agencies and commercial customers.
