Aegon UK is seeking a dedicated and detail-oriented Assistant Company Secretary to join our team in Edinburgh. The successful candidate will play a crucial role in supporting the Deputy Company Secretary, General Counsel, and Company Secretary in ensuring the smooth operation of the Aegon UK Boards and Committees. This position is integral to maintaining good corporate governance and ensuring compliance with the Companies Act and other legal and regulatory requirements. Key Responsibilities: Produce and distribute appropriate board papers on time, managing the actions list for each Board/Committee. Collaborate with Executive/Board Assistants to ensure smooth procedures before, during, and after meetings. Prepare, maintain, and circulate all relevant iNED communications, including SMCR/SMF responsibilities, F&P attestations, Induction Plans, and Personal Development Plans. Liaise with relevant iNEDs/Directors to ensure regulatory compliance. Maintain and update Company Books for each company in the Aegon UK Group, both in hard copy and on In Focus, the electronic company records management system. Maintain and update authorised signatories’ lists and relevant Companies House filings, including Statutory Accounts. Assist the Deputy Company Secretary with one-off/ad hoc projects, such as Board Effectiveness Reviews. Strong understanding of corporate governance and compliance requirements. Excellent organisational and administrative skills. Ability to work effectively with senior management and Board members.
