Position Summary
Schneider Electric has a great opportunity for an experienced M&A attorney to oversee all aspects of acquisition, divestiture and joint venture transactions linked to the Group’s Innovation portfolio. In addition to overseeing diligence, negotiations and execution of M&A transactions, the candidate will also provide legal support and act as corporate secretary to Schneider Electric’s Innovation portfolio companies, so a strong corporate law background and eagerness to learn is a must. The attorney will work on highly complex transactions with high strategic importance to the Company and will serve as the primary legal advisor to Schneider Electric’s Innovation executives. The attorney will also supervise the legal operations of Schneider Electric’s venture investment arm, SE Ventures. The attorney will be helped by a legal counsel who will report to him and focus more on this venture part of the Group’s Innovation portfolio.
Roles & Responsibilities
* Provide support for all aspects of M&A activity, including structuring, due diligence, documentation and closing.
* Assist in legal due diligence on target companies.
* Work with international law firms in cross border M&A activity.
* Engage with other in-house departments including tax, finance and accounting, HR, legal and IT.
* Engage with and review the work of outside M&A counsels.
* Act as the Corporate Secretary of the legal entity of the Group’s Innovation portfolio.
* Provide legal counsel on the Management Incentive Plans of the Group’s Innovation portfolio.
* Provide legal counsel on a diverse range of matters related to the Group’s Innovation portfolio.
* Oversee all of SE Ventures activities.
* Monitor the work of a legal counsel who will report to you.
Qualifications
* Juris Doctor (JD) and admitted to at least 1 state bar
Skills & Abilities
* M&A transaction experience
* Strong written and oral communication skills
* Experience working in a fast-paced and dynamic environment
* Excellent organizational skills, ability to manage multiple projects at once
* Ability to interact directly with senior executives, transaction counterparties and external advisors, while building constructive working relationships internally and externally
* International mindset and experience of working across borders
* Experience managing VC or PE-style equity plans is a plus, but not required
