About the Role: The Head of Company Secretarial (CoSec) Department will be responsible for leading and managing the company secretarial team, ensuring the efficient and compliant execution of all legal, and administrative responsibilities. This role will oversee processes related to LPE1 forms, pre-sales, completions, company record updates, director appointments, consents (to let, alter, pets, etc.), restrictions, registration at the Land Registry, review and advice on Memorandum and Articles of Association, special resolutions, deeds of covenant, ceasing and handover procedures, and landlord certificates. Key Responsibilities: Leadership & Management: Lead, mentor, and develop the company secretarial team, ensuring high performance and professional growth. Allocate workloads efficiently to ensure all tasks and deadlines are met. Act as the primary point of contact between the CoSec department and senior management. Implement and maintain best practices for company secretarial processes. Ensure the team operates efficiently, delivering timely and accurate documentation and filings. Company Secretarial Duties: Ensure the timely and accurate completion of all company secretarial operations, including LPE1 forms, pre-sales, and completion processes. Maintain up-to-date company records, including director appointments, resignations, and statutory filings. Ensure compliance with all relevant company law and regulations. Liaise with legal representatives, conveyancers, and clients on pre-sales and completion matters. Oversee the maintenance of statutory registers and documentation. Ensure all changes to company structures and directorships are recorded accurately and in compliance with legal requirements. Manage and process consents (to let, alter, pets, etc.), ensuring compliance with leasehold obligations. Oversee restrictions and ensure compliance with legal and leasehold requirements. Handle the registration of properties and interests at the Land Registry. Review and provide advice on the Memorandum and Articles of Association. Draft and manage special resolutions and deeds of covenant. Manage ceasing and handover procedures efficiently and accurately. Oversee the issuance of landlord certificates in accordance with legal obligations. Support the administration of AGMs, board meetings, and other governance-related meetings, including preparing agendas, minutes, and resolutions. Draft and review company secretarial documents, including shareholder agreements and governance policies. Provide guidance on regulatory and legislative changes affecting company operations. Set up and strike off of Residential Management Company’s Regulatory & Compliance: Ensure all statutory filings (e.g., Companies House filings) are completed in a timely manner. Provide governance support and advice to directors, ensuring adherence to company responsibilities. Keep up to date with legislative and regulatory changes affecting the industry and implement necessary adjustments. Support internal audits and regulatory inspections. Ensure compliance with GDPR and data protection regulations. Stakeholder Engagement: Act as a key liaison with external advisors, regulatory bodies, and internal stakeholders. Communicate effectively with clients, leaseholders, and property managers on company secretarial matters. Provide guidance and training to internal teams on company secretarial best practices. Work closely with legal teams and other departments to ensure seamless operational processes. Essential Criteria Essential Skills & Experience: Previous experience in a senior company secretarial role, preferably within the property management or real estate sector. Strong knowledge of company law, governance, and statutory compliance. Experience managing a team and driving performance in a company secretarial function. Excellent organisational skills with the ability to manage multiple tasks and deadlines. Strong communication and stakeholder management skills. High attention to detail and accuracy. Proficiency in using company secretarial software and Microsoft Office Suite. Ability to interpret and apply legal and regulatory requirements effectively. Strong problem-solving skills and ability to work under pressure. Desirable Skills & Qualifications: Chartered Secretary qualification (ICSA/CGI) or equivalent experience. Legal qualification (LLB, LPC, or equivalent) would be highly advantageous. Experience working with property management or residential leasehold companies. Understanding of conveyancing processes related to leasehold properties. Familiarity with compliance reporting and regulatory submissions. Benefits: Competitive salary (dependent on experience).
