Company Secretarial Assistant
Location: GSK HQ, London (2-3 days on site per week)
We are hiring for a Company Secretarial Assistant who will work on a broad range of activities within GSK’s Corporate Secretariat Global Subsidiary Operations team. The role provides an opportunity to support a variety of key functions at GSK, and to learn and develop your career within a large and very experienced Corporate Secretariat team.
Job Purpose:
* Member of the Global Subsidiary Operations team within Corporate Secretariat.
* Assists Assistant Company Secretaries and Senior Assistant Company Secretaries in the day-to-day operations of the Company Secretariat.
Key Responsibilities include, but are not limited to:
Regulatory Compliance
* Assist in the preparation and filing of statutory returns and documents with Companies House.
* Ensure compliance with the Companies Act, Listing Rules, and other relevant legislation and regulations.
Corporate Governance
* Ensure compliance with the Group’s corporate governance processes, including Corporate Legal Entity Integration Team (CLEIT), Corporate Administration and Transaction Committee (CATC), Insider and Business Confidential lists, and Document Execution (DocEx).
Transaction Support
* Support the execution of Corporate Secretariat aspects of transactions and other special projects (e.g. M&A; joint ventures and other collaborations; and Group reorganisations) initiated by Corporate Development, Corporate Finance, Tax, Treasury and other corporate functions.
* Support Assistant Company Secretary and Senior Assistant Company Secretary in the ongoing rationalisation of the Group’s subsidiary structure and support the strike-off, liquidation and other elimination of allocated entities.
Confidentiality and Disclosure
* Participate as part of the team responsible for obtaining GSK plc Disclosure Committee approval and making RNS and US EDGAR releases of announcements and the filing of documentation at the National Storage Mechanism.
* Provide support to the Disclosure Committee including arranging meetings, circulating materials, and maintaining logs of future announcements, decisions and announcements released.
Board Support
* Provision of board support to certain allocated Group entities that hold scheduled physical board meetings, including scheduling and arranging meetings, following up on actions and maintaining the actions arising log, planning the agenda, preparing board packs, attending and minuting meetings and ensuring appropriate governance is applied.
Equity Interest Portfolio
* Support the Group’s Equity Investment portfolio of shareholdings in third-party companies, including actioning the bi-annual reconciliation.
* Participate in voting at Equity Investment companies’ Annual General Meetings.
* Assist with various ad hoc queries that arise.

Preferred Qualifications:

* Knowledge and understanding of the operation and administration of a complex multi-national organisation with multiple legal entities worldwide.
