Role Summary
We are hiring a Senior Legal Analyst to be a member of the Global Advisory legal team based in London, focusing on institutional segregated mandates and investment solutions for large and strategic clients, with additional involvement in fund structuring and regulatory advice. The role offers a wide variety of asset management assignments, in particular investment management agreement (IMA) negotiation, investment services provision analysis, EU/UK regulatory and general legal work, as may be needed.
The successful candidate will work closely with Legal Counsels based in London, Luxembourg and the US, providing legal support to T. Rowe Price’s business operations in EMEA, with a particular focus on clients in the UK and Europe.
Responsibilities
* Drafting, negotiating and managing legal documents and contracts for institutional client onboarding (e.g. IMAs, SLAs), preparing mandate amendments, regulatory disclosures and assisting with mandate restructuring.
* Assisting with drafting and review of investment fund structures (e.g. UCITS prospectuses and supplements).
* Maintenance of document management systems, assisting with development and maintenance of document precedents, workflows and processes within the team.
* Contributing to the development of new processes for updating databases, filing systems and electronic documentation systems that ensure accuracy and completeness of and preserve and protect sensitive information.
* Assisting with analysis and implementation of UK or EU regulatory rules or consultation papers, implementation of new products and services, and preparation of regulatory disclosures e.g. under EU SFDR.
* Independently conducting legal research, drafting legal documents, and performing other duties under supervision of Legal Counsels. Responsible for the accuracy and completion of own work, and contribution to team objectives.
* Assisting with preparation of reports, documents, RFP responses or training for internal business partners.
* Assisting with reviewing external counsel advice and providing an overview for internal legal counsels.
Required Personal Attributes / Skills / Qualifications
* Bachelor's degree or the equivalent combination of education and relevant experience.
* Experience gained in private practice and/or relevant in-house Legal department within an Asset, Investment or Wealth Management firm. Demonstrable knowledge of asset management business functions, markets and regulatory environment in the UK and EU.
* Demonstrable experience in drafting, reviewing and negotiation of asset management-related documentation and associated contracts.
* Fluent in English with excellent written and oral skills.
* Attention to detail, ability to effectively manage workload independently and pro-actively progress matters.
* Ability to work under tight timeframes and meet deadlines.
* Ability to interact professionally with a diverse group of internal and external contacts.
Preferred
* Professional legal qualification such as the Legal Practice Course (LPC) or SQE.
* Experience of multiple institutional client types across UK and EU such as pension funds and sub-advised fund structures.
* Awareness of US regulatory regime and SEC rules, EU ESG and sustainable finance regulatory environment.
* Awareness of derivatives documentation, instrument types and operational functions.
* Commercially aware and attuned to the needs of a global business.
* A collaborative and client-focused approach to the provision of legal support.
