Deputy Company Secretary - Charity Sector

SSQ is delighted to partner with an award-winning and internationally recognised Charity to recruit a Deputy Company Secretary to join its growing Governance function.
You will work closely with the Company Secretary on a variety of Governance projects, including board management, project leadership, governance policy, and training and development of the wider team. This position is suitable for someone with experience in the Charity Sector who is seeking either a step-up or lateral move with interesting, high-level governance work.
The role: description:
* To assist the Company Secretary and ensure the Charity complies with its governing documents, charity law, company law and other relevant legislation or regulations.
* Support the Company Secretary in reviewing corporate policies and procedures, including reviewing and supporting the development of best practices against the Charity Governance Code.
* To provide expert advice and guidance to internal stakeholders on matters relating to the Charity’ s governing documents, charity law, company law and other relevant legislation and regulation.
* To lead and/or support the Company Secretary on ad-hoc projects to support the delivery of the Corporate Services Business Plan.
* To work closely with the Company Secretarial Assistant to oversee and proactively manage the administration of the Charity’s Committees and board.
* To draft high-quality and timely papers, minutes and reports as applicable for all Boards and Committees
* To work closely with the Company Secretarial Assistant to oversee the management of the Charity and its subsidiaries statutory registers.
* To support the Charity's Internal Audit function by proactively tracking audit actions and ensuring these are followed through in a timely manner throughout the year.
* To deputise for the Company Secretary in their absence, providing leadership and support to colleagues.
Personal Requirements:
* Significant experience working in a Governance or Company Secretarial team within a Charity
* Extensive experience of providing advice on a range of governance and compliance matters to trustees, Senior Leadership and colleagues
* Extensive experience of providing support to governance meetings and taking minutes
* Working knowledge of the Charities Act and Companies Act
* Experience working in ESG (desirable)
