Reporting directly the CFO, the Head of Legal is responsible for all aspects of in-house legal advice and support. The position has a global remit, with an emphasis on EMEA and the Americas, from commercial contracting through to property, fund raising, corporate transactions and management of external legal advisors as required. The role’s duties and responsibilities include, but are not limited to: The provision of legal advice covering commercial contracts, property, corporate compliance and governance, intellectual property, copyright, data protection, litigation and health and safety. Drafting and maintenance of share option scheme paperwork. Advising and negotiating the full range of commercial contracts. Maintaining and updating standard contractual documentation. Developing legal structures, new policies and approaches for dealing with legal issues within a corporate environment. Managing the Intellectual Property registrations and renewals for the group. Sourcing specialist legal advice when necessary. Managing relationships with external law firms to support the global business. Managing the insurance renewal process. Providing a company secretarial service including compliance, planning and support at board meetings. Ensuring that all advice accurately reflects applicable laws, regulations and practice. Providing training to the business on legal topics including new legislation. Advising to mitigate against legal risk and assist with commercial risk mitigation and compliance. Actively resolving material legal issues. PERSON SPECIFICATION Knowledge/Experience A qualified solicitor with practical legal experience in Commercial law. Significant PQE predominantly gained from working in house. Strong knowledge of commercial contract law and general corporate transactional agreements and arrangements including funding and share schemes. Intellectual Property experience including patents, Trade Marks and domain names and of drafting and negotiating software licences. Experience of working in an SME and/or as a standalone function. Previous experience of working at a senior level in a technology company would be preferable. Demonstrable negotiating capability is required. Experience in managing external law firms. Knowledge of GDPR and Health & Safety legislation is desirable. Proven ability to manage internal customers and external advisors across a wide variety of geographies.
