We are seeking a dynamic and experienced legal professional with executive experience to lead our Legal and Governance Department and oversee the company’s legal, compliance, and corporate governance functions. The ideal candidate will ensure that the organisation operates within the law, and adheres to the highest standards of corporate governance and ethical behaviour. This role requires a strategic thinker with strong leadership skills to foster collaboration across departments, business units and geographies, aligning legal and governance goals with our company’s strategic objectives. Position Overview As our Legal and Governance Manager, you will play a pivotal role in overseeing and leading the company's legal, compliance, and corporate governance functions, ensuring that all activities adhere to the highest standards. You will lead the Legal and Governance Department, which encompasses two key units: Legal and Risk Management, and Corporate Governance and Compliance. In this role, you will ensure that these functions support and align with the company’s strategic goals, while fostering a culture of compliance, integrity, and accountability throughout the organisation. Key Responsibilities Ensure that the company complies with all local and international laws and regulations, including industry-specific requirements. Review, draft, and negotiate commercial contracts to protect the organisation’s interests. Provide legal advice on a wide range of business matters, encompassing commercial, corporate and labour law, as well as contracts, partnerships, and mergers and acquisitions. Lead the development and implementation of a framework to identify, assess, and mitigate legal risks. Ensure compliance with data privacy regulations such as GDPR, CCPA, or local privacy laws, developing and implementing policies to protect personal and sensitive data. Oversee the company’s intellectual property portfolio, ensuring that IP assets are legally protected. Monitor and assess changes in laws and regulations, recommending necessary adjustments to policies and business practices. Manage and resolve commercial disputes for the business, including engaging with external legal experts as necessary. Conduct regular legal and compliance risk assessments to ensure adherence to internal policies and external regulatory requirements. Act as the primary liaison with regulatory authorities. Oversee compliance audits and ensure that any gaps in regulatory compliance are addressed promptly. Qualifications and Experience Bachelor’s or Master’s degree in Law, Business Administration, or a related field. Minimum 10 years of experience in a legal, governance, or compliance role in international business environment, with at least 5 years in a management position. Professional qualification such as Solicitor (England & Wales) or Attorney at Law. Chartered Governance Institute (ICSA) qualifications for corporate governance expertise are a plus. Proven track record in managing legal advisory and corporate governance for a large international organisation, preferably in a regulated industry, or renewable energy. Expertise in contract law, corporate governance frameworks, regulatory compliance, and intellectual property management. Strong leadership and interpersonal skills, capable of advising senior management and the board of directors on complex legal and governance issues. Ability to communicate complex legal and governance concepts clearly and effectively to non-legal stakeholders.
