* Governance Framework Development: Update and refine our corporate governance framework to ensure alignment with industry standards and regulatory requirements.
* Statutory Record Management: Maintain accurate and up-to-date statutory records for group companies, adhering to relevant laws and regulations.
* Secretarial Services: Provide expert company secretarial services for overseas entities, ensuring seamless compliance with international regulations.
* Director Support: Offer guidance and support to directors on matters related to corporate governance and decision-making.
* Meeting Preparation: Prepare and deliver draft minutes and resolutions for governing committee meetings, guaranteeing accuracy and clarity.
* Compliance and Reporting: Submit necessary corporate and statutory filings on time, maintaining open communication with Compliance regarding overseas licenses and registrations.
* Reports and Presentations: Contribute to drafting and producing reports for governing committee meetings, showcasing critical information and insights.
* Regulatory Compliance: Ensure adherence to external rules and requirements, staying informed about changes and updates.
Requirements
To succeed in this role, you should possess the following qualifications and skills:
* Relevant Qualifications: Hold a law degree or equivalent qualification; ICSA (Institute of Chartered Secretaries and Administrators) certification is highly desirable.
* Experience: Bring at least 5 years of experience working in a similar capacity, preferably within the insurance industry or financial services sector.
* Key Skills: Demonstrate strong organizational skills, ability to prioritize tasks effectively, and exceptional communication and presentation skills.
* Attention to Detail: Possess high attention to detail and adhere to strict deadlines while maintaining accuracy.

A competitive estimated salary of $80,000 - $110,000 per annum, commensurate with experience and qualifications.
