The Head of Company Secretariat & Compliance will lead all aspects of the Company Secretariat and Compliance Functions which forms part of the Legal Team. Managing a portfolio of c300 entities related to the Lendlease UK business including a few regulated entities and entities owned in a joint venture with external third parties. The role is also responsible for managing compliance within the Lendlease business in Europe. In particular, the role will have responsibility for the regulatory compliance of Lendlease’s FCA registered investment management entity, Lendlease Real Estate Investments (Europe) Limited (“LREI”), with all applicable requirements under the UK regulatory framework.
Leading relationships with and service provision to joint venture clients and external directors. Building relationships with internal stakeholders and keep high quality service provision and customer care at the heart of everything.

What will you do?
* Arrange board meetings and manage board calendar; produce and issue board packs to a high standard, and draft ad hoc transaction-related board resolutions.
* Attend meetings, take minutes, maintain matters arising and other registers.
* Implement board reporting tools.
* Maintain records of all subsidiaries and associated property assets, in the UK.
* Initiate regular reviews of dormant companies and work with internal and external parties to facilitate solvent liquidations.
* Draft board minutes and resolutions in advance when requested to include POAs, bank mandates, loan agreements, share allotments and corporate restructures.
* Take an active role in a busy document execution function. Facilitate and advise on document execution in the UK and offshore using DocuSign and other means of electronic signing.
* Maintain full records of staff directorships and associated property assets.
* Act as a day-to-day contact for regulatory compliance matters for relevant UK operations taking on the Senior Management Functions 16 (Compliance Officer) and 17 (Money Laundering Reporting Officer) for the firm.
* Maintain appropriate policies and procedures including those required for ensuring compliance with the relevant FCA and other (e.g. AIFMD) rules and regulations.
* Monitor compliance with the obligations arising under LREI’s policies and procedures.
* Support regional product development by advising on the compliance impact and requirements associated with product launches.
* Support regional marketing efforts by advising on the compliance impact and requirements associated with business development and advertising under applicable UK regulations.
* Oversee all regulatory filing to ensure deadlines are satisfied.
* Document and oversee the update process for regional policies and procedures.
* Oversee and manage training for Lendlease Investment Management.
* Oversee the Anti-Money Laundering policies, controls, and procedures across the region and act as the Nominated Officer for HMRC registered entities Lendlease Development and Lendlease real estate Investment Services.
* Assess conflict of interests’ declarations submitted by Lendlease personnel.
* Perform the role of data protection manager for the UK having oversight of data protection arrangements and have an active role in reviewing the firm’s Records of Processing Activities (RoPAs), conduct Data Protection Impact Assessments (DPIAs) and co-ordinate the investigation of any potential data incidents.
You will bring
* Either a Chartered Secretary (ACIS or FCIS) or an equivalent level of professional qualification and experience.
* Educated to degree level.
* Proven experience in all aspects of company secretarial work, preferably with experience of working in a highly regulated sector.
* Knowledge of Financial Services regulatory requirements would be a distinct advantage.
* Knowledge of underlying legislation and its application to practical situations.
* Practical experience of managing projects and delivering change to the business.
* Experience in and understanding of investment management sector and board reporting requirements for investors.
* Proven experience in a senior compliance position at a financial firm or a regulatory institution.
* Eligibility to be accepted for any necessary approvals under the FCA ‘Senior Managers and Certification Regime’ (“SMCR”).
* Knowledge of FCA Regulations including SMCR.
* Previous experience in filing regulatory reports and providing compliance oversight.
* Familiarity with anti-money laundering and know-your-customer best practices within UK regulation.
