Our client, a niche fund management company, seeks to recruit a new Head of Legal to work as a trusted adviser to the business and executive team. The organisation continues to grow year on year and now manages approximately £6.5bn in assets for over 40 different institutional investors. Investments are broadly found in public and private equity, specialist credit, property and land.
The successful candidate will oversee and manage the legal aspects of the business and the funds it manages. Reporting to the COO, the Head of Legal will work with the internal investment team, compliance and risk, and external parties. The position will be responsible for managing the legal budget and external counsel whilst offering first-class legal advice to minimise risk to the business. Duties will include:
Transactions
* Advise on transactional matters, including advising on fund/limited partnership investments and structuring.
* Provide legal advice on resolution of commercial disputes if needed.
Corporate matters and external counsel
* Assessing and advising on the legal risks arising in the business and recommending an appropriate and commercial course of action and strategies to manage these risks.
* Monitoring legal developments and proposing commercial solutions to help minimise risk, ensuring consistency across the business.
* Manage and monitor in a professionally and commercially effective manner, the relationship with external legal advisers.
* Advise on corporate governance and provide support to the firm’s committees and working groups, as necessary.
* Advise in relation to contracts and day-to-day operational matters such as employment issues and Freedom of Information Act requests.
Fund Management and Regulation
* Drafting, amending, and negotiating agreements including supplier and other general commercial contracts, investment management agreements, NDAs, and ISDAs.
* Maintenance and updating of fund documentation in line with relevant laws and investment policies. Advise on the impact of FCA regulations, Data Privacy, Anti-bribery and Ethics.
Work Experience and Knowledge Required
* Qualified Solicitor or Barrister under UK law, ideally with a minimum of seven years post-qualification experience (preferably experience in private practice and in-house).
* Relevant transactional experience gained in an investment management business (or similar) with exposure to private equity (ideally including close-ended funds) and real estate.
* Commercial approach in recommending solutions to the business in legal matters.
* Prior experience in advising on corporate governance matters or interest in company secretarial.
* Detailed knowledge of investment and other commercial agreements, ISDAs, NDA, Terms of Business. Detailed knowledge of the UK financial regulatory environment. Strong ability in negotiating and reviewing commercial agreements. Understanding of the Freedom of Information Act. An awareness and interest in developments around the use of AI in the legal sector.

* Demonstrable awareness of the commercial aspects of business. Demonstrable capability to operate (and negotiate) individually and as part of an operational team.
* Excellent organisational skills - must be able to manage conflicting and demanding priorities.
* Gravitas to influence effectively internal and external parties.
* Must be able to work autonomously and with little supervision. Would thrive in a small, close-knit organisation.
