About this Opportunity:
An exciting opportunity has arisen for a Company Secretarial Assistant, reporting to the Head of Client Governance and Company Secretarial. This role offers a unique chance to work with a diverse portfolio of clients across sectors such as real estate, professional services, technology, media, and family offices. The successful candidate will support high-net-worth individuals, entrepreneurs, and owner-managed businesses, providing high-quality services in entity management, share transactions, and statutory compliance.
A full or part qualification with the Chartered Governance Institute (CGI) would be welcome but is not a requirement for the role. We are prioritising candidates with a strong background in entity management, ideally gained within a professional services firm. You will play a key role in ensuring the smooth and efficient management of governance processes, including maintaining board meeting support, accurate corporate records, assisting with share transactions, and utilising Diligent Entities to deliver excellence. Strong organisational skills, a collaborative mindset, and a proactive approach will be essential for success in this role.

Day to Day Responsibilities include but are not limited to:
Compliance Support
* Maintain statutory registers and ensure timely filing of documents with Companies House.
* Assist with the preparation and submission of confirmation statements and other statutory filings.
Governance and Board Support
* Assist with the preparation of client board meeting agendas, papers, and minutes.
* Help ensure compliance with governance policies and procedures.
* Coordinate with stakeholders to arrange client board and committee meetings.
Transactional Support
* Support the team with client transactions, including share issuances, restructuring, and acquisitions.
* Ensure compliance with relevant legal and regulatory requirements.
Team Collaboration and Development
* Provide administrative and project support to senior team members.
* Act as a point of support for junior team members, contributing to knowledge sharing and mentorship.
General Administration
* Maintain accurate records and filing systems.
* Manage correspondence and queries related to company secretarial matters.
Key Skills and Competencies
* Strong organisational skills with the ability to manage multiple priorities.
* Excellent attention to detail and accuracy in all work.
* Good written and verbal communication skills.
* Ability to work effectively both independently and as part of a team.
* Proficiency in Microsoft Office and entity management software.
Qualifications and Experience
Part-qualified (studying for CGI qualification) or equivalent governance/legal training.
1–3 years of experience in a company secretarial, legal, or governance role preferred.
Knowledge of corporate governance principles and UK regulatory frameworks is desirable.
In addition to the responsibilities listed above, you will be required to undertake GDPR training in order to fully understand the regulations and ensure all work is carried out in a compliant manner.
