Are you an ambitious professional with a keen interest in company secretarial work, compliance, and corporate governance? We're looking for a Transaction Analyst to join our Company Secretarial Services team at CSC, where you'll play a key role in supporting clients across a diverse portfolio of entities and complex transactions.
What you’ll be doing:
Company Secretarial Support
* Assist Company Secretarial Managers in ensuring client entities meet all statutory and legal obligations.
* Maintain company records, prepare and file documents with Companies House, and support incorporations and constitutional documentation.
* Prepare for and attend board, investor, and committee meetings—including compiling board packs and drafting minutes/action points.
* Support the full corporate lifecycle, ensuring entities remain in good legal standing and governance is maintained.
Transaction Management
* Work with a variety of clients (including structured finance, private credit, and real estate) to manage day-to-day secretarial tasks for complex transactions.
* Coordinate with internal teams, clients, legal counsel, and intermediaries to ensure smooth execution of transactions.
* Draft service agreements, fee letters, and ancillary documentation.
* Assist with onboarding processes, bank account opening, regulatory license applications, and document execution.
* Keep internal systems and databases updated with accurate transaction and entity information.
Client Service & Business Development
* Build strong, professional relationships with clients through responsive and high-quality communication.
* Participate in legal training relevant to the sector to stay ahead of industry changes.
* Maintain high-quality and compliant client files in line with internal standards.
Compliance & Invoicing
* Follow CSC’s client acceptance and review procedures to ensure ongoing regulatory compliance.
* Monitor transactions for compliance with relevant laws and regulations, including Market Abuse Regulations.
* Ensure accurate and timely time recording, invoicing, and submission of fixed fees and expenses.
Administrative Support
* Provide general support to the team including post handling, courier arrangements, and document filing.
What we’re looking for:
* Part-qualified or Grad ICSA (or willing to study toward chartered secretary qualification)
* Bachelor’s degree (2:1 or higher) in Law, Finance, Business, or a related field
* 6–12 months’ experience in a legal/financial setting (internships and placements welcome)
* Strong attention to detail and excellent written/verbal communication
* Proficiency in Microsoft Word and Outlook
* Strong time management and the ability to manage multiple deadlines
* A proactive team player who can also work independently
* Passionate about company secretarial work, compliance, and governance
